【摘要】：我國(guó)現(xiàn)行立法對(duì)責(zé)任轉(zhuǎn)質(zhì)的態(tài)度模棱兩可,容易引發(fā)糾紛。從效率維度上看,責(zé)任轉(zhuǎn)質(zhì)確實(shí)有其正當(dāng)性,既可以促使物盡其用,也可彌補(bǔ)承諾轉(zhuǎn)質(zhì)難以取得出質(zhì)人同意之不足。在責(zé)任轉(zhuǎn)質(zhì)的制度設(shè)計(jì)上,要兼顧物盡其用和保護(hù)出質(zhì)人利益,明確責(zé)任轉(zhuǎn)質(zhì)能否成立應(yīng)視質(zhì)押物的類型而定,轉(zhuǎn)質(zhì)權(quán)應(yīng)依附于原質(zhì)權(quán),同時(shí)應(yīng)建立出質(zhì)人與質(zhì)權(quán)人之間的利益分享機(jī)制。在責(zé)任轉(zhuǎn)質(zhì)的具體構(gòu)建上,要將"轉(zhuǎn)質(zhì)權(quán)所擔(dān)保的債權(quán)期限不得超過(guò)原質(zhì)權(quán)所擔(dān)保的債權(quán)"與"質(zhì)物是可替代物"作為責(zé)任轉(zhuǎn)質(zhì)的構(gòu)成條件;同時(shí),要賦予出質(zhì)人清償對(duì)象選擇權(quán)以及當(dāng)質(zhì)物損壞時(shí)直接向轉(zhuǎn)質(zhì)權(quán)人追償?shù)葯?quán)利。
[Abstract]:The current legislation of our country is ambiguous about the quality of responsibility, which is easy to cause disputes. From the perspective of efficiency, the transfer of responsibility to quality does have its legitimacy, which can not only promote the best use of things, but also make up for the difficulty of obtaining the consent of the pledge. In the system design of responsibility transfer, we should take into account the best use of the material and protect the interests of the pledge, and make it clear that the establishment of the responsibility transfer depends on the type of pledge, and the right of pledge should be attached to the original pledge. At the same time, the benefit sharing mechanism between the pledgee and the pledgee should be established. In the specific construction of the transfer of liability, it is necessary to take "the term of the creditor's rights guaranteed by the pledge shall not exceed the creditor's rights guaranteed by the original pledge" and "the pledge is a substitute" as the constituent conditions of the transfer of responsibility. At the same time, it is necessary to give the pledger the option of paying off the object and the right to recover directly from the pledgee when the pledge is damaged.
