【摘要】：專(zhuān)利權(quán)質(zhì)押融資作為一種新型的融資方式,近年來(lái)得到政府、企業(yè)以及金融機(jī)構(gòu)的高度關(guān)注。在本篇論文中,筆者試圖通過(guò)法經(jīng)濟(jì)學(xué)的研究方法,結(jié)合本人的實(shí)際工作經(jīng)驗(yàn)和知識(shí)水平,對(duì)專(zhuān)利權(quán)質(zhì)押融資問(wèn)題進(jìn)行系統(tǒng)的法經(jīng)濟(jì)學(xué)分析,目的在于通過(guò)深入辨析專(zhuān)利權(quán)質(zhì)押融資中存在的供需、質(zhì)物能力和風(fēng)險(xiǎn)與收益的不對(duì)稱(chēng)問(wèn)題,探索質(zhì)押融資的法律制度約束和經(jīng)濟(jì)成本影響,從而針對(duì)性地提出通過(guò)創(chuàng)新制度約束、質(zhì)權(quán)處置機(jī)制,建立知識(shí)產(chǎn)權(quán)服務(wù)業(yè)集聚中心,嘗試解決知識(shí)產(chǎn)權(quán)質(zhì)押的融資難問(wèn)題,并為知識(shí)產(chǎn)權(quán)服務(wù)業(yè)提出意見(jiàn)和建議。在學(xué)術(shù)研究的方法上,本論文綜合運(yùn)用“外部性”和“效率分析”等常見(jiàn)的法經(jīng)濟(jì)學(xué)分析方法探討專(zhuān)利權(quán)質(zhì)押融資的內(nèi)涵和外延,由于專(zhuān)利權(quán)質(zhì)押融資的復(fù)雜性和風(fēng)險(xiǎn)性遠(yuǎn)高于有形資產(chǎn)融資,因此國(guó)內(nèi)融資實(shí)踐仍處于基礎(chǔ)水平,相關(guān)法律制定尚待進(jìn)一步完善。本文第一部分對(duì)專(zhuān)利權(quán)質(zhì)押融資的定義、概念和特點(diǎn)進(jìn)行闡述;第二部分介紹西方發(fā)達(dá)國(guó)家在專(zhuān)利權(quán)質(zhì)押融資上的先進(jìn)經(jīng)驗(yàn)和我國(guó)的本土實(shí)踐;第三部分綜合運(yùn)用法經(jīng)濟(jì)學(xué)視角對(duì)專(zhuān)利權(quán)質(zhì)押融資涉及到的質(zhì)物價(jià)值、法律風(fēng)險(xiǎn)、制度約束、經(jīng)濟(jì)成本等要素進(jìn)行分析;最后從知識(shí)產(chǎn)權(quán)服務(wù)業(yè)的視角探討專(zhuān)利權(quán)質(zhì)押融資機(jī)制的完善,從而解決高科技企業(yè)融資難問(wèn)題。
[Abstract]:As a new type of financing, patent pledge financing has been highly concerned by the government, enterprises and financial institutions in recent years. In this paper, the author tries to carry out a systematic legal and economic analysis of the issue of patent pledge financing through the research methods of law and economics, combined with my practical work experience and knowledge level. The purpose of this paper is to explore the legal system constraint and economic cost influence of pledge financing by deeply analyzing the problems of supply and demand, the ability of pledge and the asymmetry of risk and income in pledge financing of patent right. Therefore, the paper puts forward that through innovating system restraint, disposition mechanism of pledge right, setting up the agglomeration center of intellectual property service industry, trying to solve the financing difficulty of intellectual property pledge, and putting forward opinions and suggestions for intellectual property service industry. In the aspect of academic research, this paper discusses the connotation and extension of patent pledge financing by means of "externality" and "efficiency analysis". Because the complexity and risk of patent pledge financing is much higher than that of tangible assets financing, domestic financing practice is still at the basic level, and relevant laws need to be further improved. The first part of this paper expounds the definition, concept and characteristics of patent pledge financing, the second part introduces the advanced experience of western developed countries in patent pledge financing and the local practice of our country. The third part synthetically uses the law economics angle of view to carry on the analysis to the patent right pledge financing related to the property value, the legal risk, the system restriction, the economic cost and so on; Finally, from the perspective of intellectual property service industry, the paper discusses the perfection of the financing mechanism of patent pledge, so as to solve the financing difficulties of high-tech enterprises.
