【摘要】：綜觀生產(chǎn)制造型企業(yè)發(fā)生的法律風(fēng)險(xiǎn),絕大部分與企業(yè)簽訂的各類合同息息相關(guān),而在生產(chǎn)制造型企業(yè)的各類合同中,買賣合同(包括采購(gòu)合同和銷售合同)所占的比重極高。所以,只要將買賣合同的法律風(fēng)險(xiǎn)牢牢控制住了,也就成功地幫助企業(yè)過(guò)濾了大部分的法律風(fēng)險(xiǎn)。本論文試圖通過(guò)分析生產(chǎn)制造型企業(yè)買賣合同(含涉外買賣合同)法律風(fēng)險(xiǎn)防范的幾個(gè)重點(diǎn)領(lǐng)域以及與之相對(duì)應(yīng)的防范措施,提出并論證了“預(yù)防勝于治療”風(fēng)控原則在企業(yè)法律風(fēng)險(xiǎn)防范中的重要性,為生產(chǎn)制造型企業(yè)的決策層和法律事務(wù)管理部門提供了切實(shí)可行的法律風(fēng)險(xiǎn)防范方案,希望借此對(duì)我國(guó)生產(chǎn)制造型企業(yè)的法律風(fēng)險(xiǎn)控制領(lǐng)域有所裨益。首先,本論文簡(jiǎn)述了論文的選題背景、意義及“預(yù)防勝于治療”的風(fēng)控原則以及論文框架。其次,闡述了生產(chǎn)制造型企業(yè)在工廠建設(shè)過(guò)程中采購(gòu)合同的主要法律風(fēng)險(xiǎn)防范與控制,并通過(guò)兩個(gè)典型案例,論證和總結(jié)了企業(yè)按照“預(yù)防勝于治療”風(fēng)控原則對(duì)合同履行過(guò)程中的法律風(fēng)險(xiǎn)予以動(dòng)態(tài)監(jiān)控的重要性。再次,闡述了生產(chǎn)制造型企業(yè)在日常運(yùn)營(yíng)過(guò)程中買賣合同各階段的法律風(fēng)險(xiǎn)防范與控制,并分析了兩個(gè)因產(chǎn)品質(zhì)量檢驗(yàn)條款和違約責(zé)任條款約定不明而引發(fā)的案例。最后,介紹了生產(chǎn)制造型企業(yè)涉外貨物買賣合同的法律風(fēng)險(xiǎn)并專門就法律適用條款的風(fēng)險(xiǎn)進(jìn)行了深入研究,并通過(guò)一個(gè)案例分析和總結(jié)了涉外買賣合同的法律適用順序。結(jié)論部分總結(jié)了生產(chǎn)制造型企業(yè)買賣合同法律風(fēng)險(xiǎn)防控的特點(diǎn)及“預(yù)防勝于治療”風(fēng)控原則的重要性,以及如何平衡企業(yè)利益最大化與風(fēng)險(xiǎn)控制之間的矛盾關(guān)系。
[Abstract]:Looking at the legal risks of manufacturing enterprises, most of them are closely related to all kinds of contracts signed by enterprises, but the proportion of purchase and sale contracts (including procurement contracts and sales contracts) is very high in all kinds of contracts of manufacturing enterprises. Therefore, as long as the legal risk of the sale and purchase contract is firmly controlled, it will help the enterprise filter most of the legal risk. This paper attempts to analyze several key areas of legal risk prevention in manufacturing enterprises' sale and purchase contracts (including foreign-related contracts) and the corresponding preventive measures. This paper puts forward and demonstrates the importance of the principle of "prevention is better than cure" in the prevention of legal risks in enterprises, and provides a feasible scheme for the decision making and legal affairs management departments of manufacturing enterprises. It is hoped that this will benefit the legal risk control of manufacturing enterprises in China. Firstly, the background, significance, principle and framework of "prevention is better than cure" are briefly introduced. Secondly, it expounds the main legal risk prevention and control of purchasing contract in the process of factory construction of manufacturing enterprises, and through two typical cases, This paper demonstrates and summarizes the importance of dynamic monitoring of legal risk in the process of contract performance according to the principle of "prevention is better than cure". Thirdly, this paper expounds the legal risk prevention and control of each stage of the sale and purchase contract in the daily operation of manufacturing enterprises, and analyzes two cases caused by the unclear agreement between product quality inspection clause and breach of contract clause. Finally, the paper introduces the legal risk of the foreign goods sale contract in manufacturing enterprises and makes a deep study on the risk of the applicable clauses of the law, and through a case analysis and summarizes the order of the law applicable to the foreign purchase and sale contract. The conclusion part summarizes the characteristics of legal risk prevention and control in the contract of sale and purchase of manufacturing enterprises, the importance of the principle of "prevention is better than cure", and how to balance the contradictory relationship between the maximization of enterprise interests and risk control.
