關(guān)于融資租賃中對(duì)出租人權(quán)益保護(hù)問(wèn)題的研究

【摘要】:以司法審判中的真實(shí)案例作為引導(dǎo),描述了當(dāng)前我國(guó)融資租賃出租人的權(quán)利。目前,我國(guó)融資租賃出租人的保護(hù)現(xiàn)狀不容樂(lè)觀(guān),承租人中途解約、破產(chǎn)、無(wú)權(quán)處分、未按約定支付租金等因素,不僅使出租人權(quán)益受損,更不利于融資租賃行業(yè)的健康發(fā)展。融資租賃的相關(guān)立法缺失,融資租賃行業(yè)也沒(méi)有形成完整的防護(hù)機(jī)制,2014年最高院《關(guān)于審理融資租賃合同糾紛案件的解釋》的出臺(tái)固然對(duì)融資租賃交易的發(fā)展提供了新的契機(jī),但是其中許多規(guī)定不夠?qū)嶋H,沒(méi)有配套的法律和系統(tǒng)作支撐,無(wú)法得到有效的實(shí)施。針對(duì)現(xiàn)行法律規(guī)定的缺失造成的融資租賃出租人權(quán)益受損的情況,提出要保護(hù)融資租賃出租人的合法權(quán)益,促進(jìn)融資租賃業(yè)的繁榮,必須要建立完善的禁止承租人中途解約機(jī)制,統(tǒng)一相關(guān)規(guī)定;完善我國(guó)的二手市場(chǎng),在承租人破產(chǎn)的情況下保證出租人的優(yōu)先受償權(quán),并由行業(yè)帶頭,建立風(fēng)險(xiǎn)防控機(jī)制;我國(guó)當(dāng)前的物權(quán)登記制度很單調(diào)簡(jiǎn)單,應(yīng)當(dāng)盡快建立動(dòng)產(chǎn)的登記對(duì)抗制度,并建立統(tǒng)一的動(dòng)產(chǎn)與不動(dòng)產(chǎn)登記系統(tǒng);執(zhí)行租賃物以支付承租人未按約定支付的租金,同時(shí)總結(jié)《開(kāi)普敦公約》中與我國(guó)有關(guān)的規(guī)定,建議賦予當(dāng)事人一些快速救濟(jì)的權(quán)利。
[Abstract]:Under the guidance of the real cases in the judicial trial, this paper describes the rights of the financial lessors in our country. At present, the present situation of the protection of financial lessor in China is not optimistic, the lessee terminates the contract midway, goes bankrupt, has no right to dispose, does not pay the rent according to the agreement and so on, not only causes the lessor's rights and interests to be damaged, but also is unfavorable to the healthy development of the finance lease industry. The absence of relevant legislation on financial leasing and the lack of a complete protection mechanism in the financial leasing industry have provided a new opportunity for the development of financial leasing transactions, although the introduction of the Supreme Court of 2014 "on the interpretation of cases concerning the trial of disputes over Financial Lease contracts" has provided a new opportunity for the development of financial leasing transactions. However, many of them are not practical and can not be effectively implemented without supporting laws and systems. In view of the damage to the rights and interests of the financial lessor caused by the absence of the current laws and regulations, it is proposed to protect the lawful rights and interests of the financial lessor and promote the prosperity of the financial leasing industry. We must establish a perfect mechanism to prohibit the lessee from terminating the contract halfway, unify the relevant regulations, perfect the second-hand market of our country, guarantee the lessor's priority right of repayment in the case of lessee's bankruptcy, and take the lead by the industry to establish the mechanism of risk prevention and control. The current registration system of real right in our country is very monotonous and simple, so we should set up the registration countermeasure system of movable property as soon as possible, set up a unified registration system of movable property and immovable property, execute the lease item to pay the rent which the lessee has not paid according to the agreement, At the same time, the provisions of Cape Town Convention related to our country are summarized, and it is suggested that the parties should be given some rights of quick relief.
