【摘要】：代理制度作為私法自治的補(bǔ)充在市場經(jīng)濟(jì)下發(fā)揮著重要的作用。在外貿(mào)代理的背景下我國《合同法》引入了英美法系的被代理人身份不公開的代理制度,規(guī)定在委托合同一章中的第403條。但是由于法律文化和法律傳統(tǒng)的不同,該制度一經(jīng)引入即對我國傳統(tǒng)的代理制度體系造成了巨大的沖擊。究其原因應(yīng)歸結(jié)于兩大法系法律傳統(tǒng)的不同,本文通過對該制度起源的探討以及兩大法系代理制度的比較,進(jìn)一步論證該制度在我國存在的眾多問題,以及該制度的取舍問題。本文共分為四個部分,第一部分闡述了兩大法系代理定義以及分類的不同,著重介紹了被代理人身份不公開的代理制度的概念、歷史發(fā)展以及具體制度規(guī)則。第二部分是被代理人身份不公開的代理制度和隱名代理制度、行紀(jì)制度以及我國引入的該制度的比較,主要是從各制度的概念、歷史發(fā)展過程以及法律關(guān)系方面進(jìn)行比較,從而更加深刻的理解英美代理制度。第三部分介紹了我國引入的英美特色制度所存在的爭議,該制度的引入給我國代理制度帶來的沖擊有:與我國法律行為理論和合同相對性原則不符,而且在實(shí)踐中幾乎沒有應(yīng)用。第四部分是對該制度在我國是否應(yīng)該繼續(xù)存在的探討,筆者通過社會現(xiàn)實(shí)、法律傳統(tǒng)以及制度功能三個方面闡述該制度,論證該制度的必要性問題。
[Abstract]:Agency system, as a supplement of private law autonomy, plays an important role in the market economy.Under the background of foreign trade agency, the contract Law of our country introduces the agent system of the common law system, which is not open, and stipulates the Article 403 in the chapter of entrustment contract.However, due to the difference between legal culture and legal tradition, the system has a great impact on the traditional agency system.The reason should be attributed to the difference of legal tradition between the two legal systems. Through the discussion of the origin of the system and the comparison of the agency system between the two legal systems, this paper further demonstrates the many problems existing in the system in our country, as well as the choice and choice of the system.This paper is divided into four parts. In the first part, the definition and classification of agency in two legal systems are discussed, and the concept, historical development and specific rules of agency system are introduced.The second part is the agency system and anonymous agency system, the disciplinary system and the introduction of this system in China, mainly from the concept of each system, historical development process and legal relations.Thus a deeper understanding of the Anglo-American agency system.The third part introduces the controversy of the Anglo-American characteristic system introduced in our country. The impact brought by the introduction of this system to our country's agency system is that it is inconsistent with the theory of legal act and the principle of relativity of contract in our country.And in practice almost no application.The fourth part discusses whether the system should continue to exist in our country. The author expounds the system through the social reality, the legal tradition and the system function, and proves the necessity of the system.
