商品房預售預告登記的破產(chǎn)保護效力

【摘要】:最初,預告登記被我國規(guī)定下來,主要是為了規(guī)范房地產(chǎn)開發(fā)企業(yè)的交易行為,防止出現(xiàn)一房多賣等問題,主要應用在商品房預售領域?墒窃诮(jīng)濟發(fā)展的進程中,近期有一些房地產(chǎn)開發(fā)企業(yè)受諸多因素影響,正面臨著破產(chǎn)境地。目前我們面對的關鍵問題是,在其陷于破產(chǎn)境地時,商品房預售預告登記購房者的權利何以保全,是不是能夠?qū)蛊飘a(chǎn)管理人之選擇權。對此破產(chǎn)法并沒有作出明確的規(guī)定,物權法和相關的房屋登記辦法亦未指明它在破產(chǎn)程序中的效力,以致實踐中做法各異,權利人的權益難以實現(xiàn)。因此,明析它的性質(zhì),確定其在破產(chǎn)程序中的效力,厘清破產(chǎn)清算的地位,具有十分重要的意義。在交代了選題的背景、意義后,筆者通過對預告登記、商品房預售預告登記的基礎理論等問題的介紹,結合相關法律規(guī)范的內(nèi)容,指出若購房者在購買預售商品房時,與對方約定了預告登記事宜,并且雙方履行了有關的手續(xù),那么預告登記保全的請求權自然產(chǎn)生破產(chǎn)保護效力。由于破產(chǎn)法的通過與實施早于物權法,以致難以對相關問題的處理形成統(tǒng)一確定的標準,權利人的權益難于得到保障。第二部分,通過分析預告登記的物權法效力,并借鑒域外的法律法與司法實踐,筆者建議限制破產(chǎn)管理人之選擇權。對此,區(qū)分雙方均未履行完畢合同、一方履行完以及單務合同三種情形展開探討。第三部分,當房地產(chǎn)開發(fā)企業(yè)陷入破產(chǎn)程序時,由于資不抵債,破產(chǎn)財產(chǎn)十分有限,涉及諸多權利人如建設工程價款優(yōu)先權人、購房者、職工等權利主體主張自己的權益。筆者將對比商品房預售預告登記保全的請求權與相關權利的沖突之處,厘清其與相關權利的關系,明確它在破產(chǎn)程序中的順位。
[Abstract]:First, notice of registration by our country set down, mainly to the trading behavior of real estate development enterprises, prevent problems of a room to sell, mainly used in the field of real estate sale. But in the process of economic development, recently there are some real estate development enterprises is influenced by many factors, is facing bankruptcy the key issue we face is, in its in bankruptcy, pre-sale contract registration buyers how the rights of preservation, is not able to choose the right against the bankruptcy administrator. The bankruptcy law is not clearly defined, property law and related measures of housing registration has not been specified in the bankruptcy procedure in effect, so that the practice is different, the rights of human rights is hard to implement. Therefore, analyzing its nature, determine its in bankruptcy procedures in effect, clarify the bankruptcy liquidation status is Of great significance. In the account of the background, significance, regarding the registration of pre-sale contract registration, the basic theory of such problems are introduced, combined with the relevant legal norms, pointed out that if the property buyers in the purchase of pre-sale housing, registration matters agreed with each other, and both parties to fulfill the the formalities, then notice registration request the preservation of natural bankruptcy protection effect. As with the implementation of the bankruptcy law in the real right law, so difficult to deal with issues related to the formation of a unified standard determined by the rights of human rights is hard to be guaranteed. The second part, through the analysis of the effectiveness of the registration notice of property law, and legal reference the extraterritorial law and judicial practice, the author suggests that the choice of restriction of bankruptcy administrator rights. In this regard, distinguish between both parties have failed to fulfill contract, one party to fulfill and three cases of unilateral contract Discussion. The third part, when the real estate development enterprises into bankruptcy, due to insolvency, bankruptcy property is very limited, involving many human rights such as the construction of priority right, property buyers, workers rights claim their rights. The author will compare the real estate sale registration and preservation claim and the related rights conflict, clarify its relationship with the related rights, it is clear in the procedure of bankruptcy priority.
