【摘要】：在市場經(jīng)濟(jì)條件下,商業(yè)秘密已成為企業(yè)立足不倒的致勝法寶。商業(yè)秘密的作用越重要,對其保護(hù)的必要性就顯得越迫切。雖然世界各國對商業(yè)秘密保護(hù)的法律具體模式不盡相同,但立法保護(hù)的趨勢卻在不斷加強(qiáng)。我國非常重視對商業(yè)秘密進(jìn)行保護(hù)。在保護(hù)方式和手段上,涵蓋了商業(yè)秘密的民法保護(hù)、刑法保護(hù)以及行政法保護(hù)等多層次的保護(hù)方式。這樣的保護(hù)方式對商業(yè)秘密保護(hù)來說,雖然比較全面,但是其中存在的漏洞也較為明顯。本文試圖對我國商業(yè)秘密保護(hù)法律制度中存在的漏洞做一分析,希望能夠?qū)ξ覈虡I(yè)秘密保護(hù)法律制度的完善提供一些有益的建議。 本論文共分三章。第一章著重對商業(yè)秘密的有關(guān)基本理論問題作一介紹,特別是對商業(yè)秘密的概念、特點(diǎn)、性質(zhì)以及世界各國商業(yè)秘密的保護(hù)方式作了一些探討,為下文的進(jìn)一步論述作鋪墊。第二章結(jié)合我國現(xiàn)行法律,對我國目前的商業(yè)秘密立法及其保護(hù)方式作一些介紹。我國目前有關(guān)商業(yè)秘密保護(hù)的規(guī)定散見于反不正當(dāng)競爭法、勞動法、合同法、行政法、刑法等法律法規(guī)以及其他規(guī)范性文件中。因此本章對我國商業(yè)秘密的保護(hù)方式及其具體的立法,特別是一些具體的法律規(guī)范,作了詳細(xì)的介紹和分析。第三章提出了完善我國商業(yè)秘密保護(hù)立法的建議。筆者認(rèn)為,在目前條件下,為了促進(jìn)市場經(jīng)濟(jì)的發(fā)展,適應(yīng)全球經(jīng)濟(jì)、信息一體化時(shí)代的需要,我們應(yīng)當(dāng)抓緊時(shí)間修訂、補(bǔ)充《反不正當(dāng)競爭法》中關(guān)于商業(yè)秘密保護(hù)的規(guī)定,增加商業(yè)秘密具體范圍、懲罰性賠償及競業(yè)禁止規(guī)定等方面的內(nèi)容。同時(shí)還應(yīng)進(jìn)一步完善立法體系,盡早制定專門的《商業(yè)秘密保護(hù)法》,增強(qiáng)其可操作性及保護(hù)力度。唯有如此,才能更好地保護(hù)商業(yè)秘密,推動國際技術(shù)的交流和發(fā)展,使中國經(jīng)濟(jì)更好地與世界經(jīng)濟(jì)接軌。
[Abstract]:Under the condition of market economy, trade secret has become the magic weapon that enterprises can't stand on. The more important the role of trade secrets is, the more urgent it is to protect them. Although the specific legal models of trade secret protection vary from country to country, the trend of legislative protection is strengthening. Our country attaches great importance to the protection of trade secrets. In terms of protection methods and means, it covers the civil law protection, criminal law protection and administrative law protection of trade secrets. Although this way of protection for trade secrets is more comprehensive, but the loopholes are also more obvious. This paper attempts to analyze the loopholes in the legal system of trade secret protection in China, hoping to provide some useful suggestions for the improvement of the legal system of trade secret protection in China. This paper is divided into three chapters. The first chapter focuses on the introduction of the basic theoretical problems of trade secrets, especially the concept, characteristics and nature of trade secrets and the ways to protect trade secrets in the world, which paves the way for further discussion below. The second chapter introduces the current trade secret legislation and its protection methods in combination with the current laws of our country. At present, the provisions on the protection of trade secrets in China are scattered in anti-unfair competition law, labor law, contract law, administrative law, criminal law and other normative documents. Therefore, this chapter makes a detailed introduction and analysis of the protection of trade secrets and its specific legislation, especially some specific legal norms. The third chapter puts forward some suggestions to improve the legislation of trade secret protection in our country. The author believes that under the current conditions, in order to promote the development of the market economy and meet the needs of the global economy and the era of information integration, we should hurry to revise and supplement the provisions of the Anti-unfair Competition Law on the protection of trade secrets. Increase the specific scope of trade secrets, punitive damages and non-competition provisions. At the same time, we should further improve the legislative system, formulate a special Trade Secret Protection Law as soon as possible, and enhance its maneuverability and protection. Only in this way can we better protect trade secrets, promote the exchange and development of international technology, and make China's economy better in line with the world economy.
