【摘要】：偏頗清償制度是破產(chǎn)法上的一項(xiàng)重要制度,用以滿足債權(quán)人公平受償?shù)男枨?保障和保護(hù)債權(quán)人的利益。本文首先通過(guò)分析偏頗清償制度的定義,特征及構(gòu)成要件,闡明偏頗清償制度的界定問(wèn)題,同時(shí)厘清它與破產(chǎn)欺詐的區(qū)別。其次通過(guò)對(duì)偏頗清償行為的一般行為撤銷與特殊行為的可撤銷性的比較分析,闡釋出其所產(chǎn)生的法律后果。再次通過(guò)對(duì)國(guó)內(nèi)外偏頗清償制度的立法比較分析,進(jìn)一步加強(qiáng)對(duì)偏頗清償制度的認(rèn)識(shí)和理解,學(xué)習(xí)國(guó)外先進(jìn)立法經(jīng)驗(yàn),指出我國(guó)的現(xiàn)狀。最后闡明我國(guó)偏頗清償制度的在立法和實(shí)踐中產(chǎn)生的問(wèn)題,結(jié)合前文內(nèi)容,以國(guó)外立法為對(duì)照藍(lán)本,提出彌補(bǔ)我國(guó)偏頗清償制度立法的缺失的方案,以期建立一個(gè)較為合理的符合實(shí)際需要的偏頗清償制度體系,促進(jìn)其在我國(guó)破產(chǎn)實(shí)踐中的發(fā)展,滿足我國(guó)破產(chǎn)實(shí)踐的需求。
[Abstract]:Partial settlement system is an important system in bankruptcy law, which is used to meet the demand of fair compensation of creditors, and to protect and protect the interests of creditors. First of all, by analyzing the definition, characteristics and constituent elements of biased settlement system, this paper clarifies the definition of biased settlement system and clarifies the difference between biased settlement system and bankruptcy fraud at the same time. Secondly, through the comparative analysis of the revocation of the general behavior and the cancellability of the special act, the legal consequences are explained. Thirdly, through the comparative analysis of the legislation of partial settlement system at home and abroad, we can further strengthen the understanding and understanding of the partial settlement system, learn the foreign advanced legislative experience, and point out the present situation of our country. Finally, this paper expounds the problems arising in the legislation and practice of the partial settlement system in our country, and puts forward a scheme to make up for the deficiency of the partial settlement system legislation in our country, combining the content of the previous article and taking the foreign legislation as the contrast blueprint. The purpose of this paper is to set up a reasonable system of partial settlement in accordance with the actual needs, to promote its development in China's bankruptcy practice and to meet the needs of our country's bankruptcy practice.
