【摘要】：引起社會(huì)各界廣泛熱議的“萬科股權(quán)爭(zhēng)奪戰(zhàn)”再次使敵意收購(gòu)成為熱門話題。寶能系通過對(duì)萬科的數(shù)次舉牌成為其最大股東,萬科的管理層以寶能集團(tuán)信用不夠?yàn)橛蓪?duì)其表示不歡迎。同時(shí)寶能集團(tuán)聲稱遵守法律,相信市場(chǎng)力量。一邊是市場(chǎng)法則,一邊是萬科的價(jià)值堅(jiān)守,一場(chǎng)合法的股權(quán)收購(gòu)所引發(fā)的廣泛爭(zhēng)議使我們不得不反思其背后的法律制度所存在的問題。敵意收購(gòu)的快速發(fā)展對(duì)現(xiàn)行法律制度提出了更高的需求,而當(dāng)前相關(guān)的立法存在諸多不足,正是基于此,筆者以“敵意收購(gòu)的法律問題”為選題進(jìn)行研究。本文共分為四個(gè)部分:第一章是上市公司股權(quán)敵意收購(gòu)的界定及其法律屬性定位。本章首先通過對(duì)敵意收購(gòu)的概念進(jìn)行界定。其次對(duì)敵意收購(gòu)產(chǎn)生的條件及特點(diǎn)進(jìn)行論述。最后通過對(duì)敵意收購(gòu)的價(jià)值及其缺陷進(jìn)行分析,總結(jié)出敵意收購(gòu)的法律屬性。第二章是敵意收購(gòu)對(duì)我國(guó)現(xiàn)行法律制度的挑戰(zhàn)。本章首先通過敵意收購(gòu)在我國(guó)的發(fā)展及衍變情況進(jìn)行論述。接著提出敵意收購(gòu)在我國(guó)的發(fā)展困境。最后總結(jié)出敵意收購(gòu)的發(fā)展對(duì)我國(guó)現(xiàn)行法律制度所帶來的一系列問題。第三章是域外敵意收購(gòu)的衍變及其法律規(guī)制。該章首先對(duì)域外敵意收購(gòu)的發(fā)展及衍變進(jìn)行研究。其次提出域外敵意收購(gòu)衍變的困境及其法律應(yīng)對(duì)。最后通過對(duì)域外和我國(guó)敵意收購(gòu)法律規(guī)制的情況進(jìn)行比較,總結(jié)出域外敵意收購(gòu)的法律規(guī)制對(duì)我國(guó)立法的啟示。第四章是我國(guó)敵意收購(gòu)法律制度體系的完善。該章首先對(duì)我國(guó)敵意收購(gòu)的立法態(tài)度進(jìn)行探討。其次總結(jié)出敵意收購(gòu)制度立法的原則。最后針對(duì)我國(guó)敵意收購(gòu)制度立法不足的現(xiàn)狀提出個(gè)人的建議。
[Abstract]:Vanke's share-right battle, which has aroused widespread debate from all walks of life, has once again made hostile takeover a hot topic. Baoneng became its largest shareholder through several signings to Vanke, whose management dismissed Baoneng Group's lack of credit as a reason. At the same time, Baoneng Group claims to abide by the law, believe in market forces. One side is the market law, the other is the value of Vanke, a legal equity acquisition caused by the widespread controversy, we have to reflect on its legal system behind the problems. The rapid development of hostile takeover puts forward a higher demand for the current legal system, but there are many shortcomings in the current relevant legislation. Based on this, the author studies the topic of "the legal problem of hostile takeover". This paper is divided into four parts: the first chapter is the definition of hostile takeover of listed companies and its legal attributes. This chapter firstly defines the concept of hostile takeover. Secondly, it discusses the conditions and characteristics of hostile takeover. Finally, by analyzing the value and defects of hostile takeover, the legal attributes of hostile takeover are summarized. The second chapter is the challenge of hostile takeover to China's current legal system. This chapter firstly discusses the development and evolution of hostile takeover in China. Then put forward hostile takeover in China's development dilemma. Finally, a series of problems brought by the development of hostile takeover to the current legal system of our country are summarized. The third chapter is the evolution of hostile takeover and its legal regulation. This chapter firstly studies the development and evolution of hostile takeover. Secondly, it puts forward the dilemma of the development of hostile takeover and its legal response. Finally, by comparing the legal regulation of hostile takeover between foreign countries and China, the author summarizes the enlightenment of the legal regulation of extraterritorial hostile takeover to the legislation of our country. The fourth chapter is the perfection of the legal system of hostile takeover in China. This chapter first discusses the legislative attitude of hostile takeover in China. Secondly, it summarizes the principle of hostile takeover system legislation. Finally, the author puts forward some personal suggestions on the insufficient legislation of hostile takeover system in China.
