【摘要】：股東查閱權(quán)和公司商業(yè)秘密權(quán)在諸多方面有所沖突,在實務中,為避免其商業(yè)秘密受到侵犯,公司多以股東查閱具有不正當目的為由拒絕,權(quán)利沖突進而出現(xiàn)。怎樣解決權(quán)利沖突,本文試圖對兩種權(quán)利進行分析,探討其沖突的實質(zhì)、表現(xiàn)形式和原因,針對股東查閱權(quán)制度提出一些立法建議,以期協(xié)調(diào)二者沖突,維護股東利益和公司利益。本文首先從股東查閱權(quán)和公司商業(yè)秘密權(quán)的含義出發(fā),對查閱權(quán)在自益權(quán)或共益權(quán)、固有權(quán)或非固有權(quán)、單獨股東權(quán)或少數(shù)股東權(quán)性質(zhì)問題上進行分析,對商業(yè)秘密的性質(zhì)進行界定,認定商業(yè)秘密權(quán)具有知識產(chǎn)權(quán)的屬性。其次,通過分析權(quán)利沖突相關(guān)問題,結(jié)論是利益和價值的沖突乃權(quán)利沖突的實質(zhì),查閱權(quán)和商業(yè)秘密權(quán)在沖突上主要表現(xiàn)為權(quán)利客體、法律原則和行權(quán)上的沖突,而兩種權(quán)利沖突的原因又是法律制度的不完善和價值理念上的差異。最后,在權(quán)利平等保護原則和利益、價值平衡原則的協(xié)調(diào)下,針對法律未涉及的問題提出優(yōu)化股東查閱權(quán)的立法建議,具體是明確查閱權(quán)主體、細化委托代理人查閱方式、完善查閱權(quán)行使程序,最終達到協(xié)調(diào)二者的目的。
[Abstract]:In practice, in order to avoid the infringement of their trade secrets, the shareholders' right to inspect is rejected on the grounds that the shareholders have improper purpose, and the conflict of rights appears. How to solve the conflict of rights, this paper attempts to analyze the two rights, discuss the essence, manifestation and reasons of the conflict, and put forward some legislative suggestions on the system of shareholders' right of inspection, in order to coordinate the conflict between the two rights. Protect the interests of shareholders and companies. Starting from the meaning of shareholders' right of inspection and the right of company's trade secret, this paper analyzes the nature of the right of inspection on the nature of self-beneficial right or co-beneficial right, solid right or non-solid right, individual shareholder right or minority shareholder right. The nature of trade secrets is defined, and the right of trade secrets has the attribute of intellectual property. Secondly, through the analysis of the conflict of rights, the conclusion is that the conflict of interest and value is the essence of the conflict of rights. The conflict between the right to consult and the right to trade secrets is mainly manifested in the conflict of the object of right, the principle of law and the conflict of exercise right. The conflict between the two rights is due to the imperfections of the legal system and the differences in values. Finally, under the coordination of the principle of equal protection of rights and interests and the principle of balance of value, the author puts forward some legislative suggestions to optimize the right of inspection of shareholders in view of the problems not involved in the law, specifically defining the subject of the right of inspection and refining the way of consulting the entrusted agent. Improve the exercise of the right of inspection procedures, and finally achieve the purpose of coordination between the two.
