菲律賓外國投資法研究

【摘要】:隨著我國對外開放政策的不斷深化,國家綜合競爭力不斷增強(qiáng),國內(nèi)市場已經(jīng)無法滿足中國企業(yè)發(fā)展需求,拓展國際市場,將資本投向海外市場,已成為我國企業(yè)發(fā)展主要途徑之一。而在進(jìn)入某個國家的市場之前,對該國投資法律制度的熟悉了解是必不可少的。因此,無論是國家還是企業(yè),或是學(xué)界學(xué)者們,都應(yīng)致力于對其它國家法律制度的研究,以期為本國投資者提供相應(yīng)的理論基礎(chǔ)。隨著我國與菲律賓經(jīng)貿(mào)關(guān)系不斷加深,中國對菲律賓投資比例逐年上升,在菲律賓投資領(lǐng)域?qū)嵺`性漸趨增長的情況下,若缺乏相應(yīng)的理論支撐,無疑不利于我國與菲律賓投資關(guān)系進(jìn)一步發(fā)展。本文試圖較為深入、系統(tǒng)地了解和研究菲律賓外國投資法,鑒于篇幅限制,與投資相關(guān)的法律制度將不作具體分析,僅在涉及時作附帶性提示。因此,本文將綜合分析菲律賓有關(guān)外國投資的法律制度,以《外國投資法》和《綜合投資法》文本研究為出發(fā)點,通過外資準(zhǔn)入、外國投資優(yōu)惠和鼓勵、外國投資保護(hù)三個層面來解析菲律賓的外資制度,以期為我國投資者提供應(yīng)對建議,維護(hù)我國投資者利益。第一部分是對菲律賓外國投資法進(jìn)行簡要概述,該部分基于菲律賓外國投資法的歷史性發(fā)展,通過整體性闡述將菲律賓外國投資的立法演變、立法模式及立法體系清晰地展現(xiàn)出來,以為后四部分撰寫奠定宏觀性思維基礎(chǔ);在對此三方面進(jìn)行寫作時,文章綜合運用時間、空間及類型等視角作為每一方面的切入點。第二部分是對菲律賓外國投資準(zhǔn)入制度作分類解析,這部分從三個維度出發(fā),包括投資管理機(jī)構(gòu)、投資領(lǐng)域劃分及投資審批制度;所劃分的三個板塊按照外資最初是否準(zhǔn)許進(jìn)入,到可以進(jìn)入哪些行業(yè),到如何進(jìn)入這樣的思維邏輯不斷深入。第三部分是菲律賓外國投資促進(jìn)制度,這部分是在前兩部分基礎(chǔ)上的深入,所涉及內(nèi)容是菲律賓如何促進(jìn)和吸引外資。該部分首先論述了外國投資者的投資待遇、其次論述了其所享受的稅收減免、最后論述了菲律賓政府對于經(jīng)濟(jì)落后地區(qū)的優(yōu)惠政策三個部分。第四部分探討的是菲律賓的外資保護(hù)制度,從外資利潤匯出、征收征用、爭端解決機(jī)制三個層面分析,論述了菲律賓外資保護(hù)制度的類型與特點。同時以文本為基礎(chǔ)對提供的各種保護(hù)手段進(jìn)行了評述。第五部分針對菲律賓外資法律制度的特點,有針對性地提出我國企業(yè)的應(yīng)對措施。本部分首先回顧了我國在菲律賓投資現(xiàn)狀及對我國在菲投資企業(yè)的影響,并以進(jìn)一步鞏固和加強(qiáng)中國海外投資利益為出發(fā)點,提出中方應(yīng)對菲律賓現(xiàn)行外資法的立場與舉措。
[Abstract]:With the deepening of China's policy of opening to the outside world and the increasing comprehensive competitiveness of the country, the domestic market has been unable to meet the development needs of Chinese enterprises, to expand the international market, and to invest capital in overseas markets. It has become one of the main ways to develop enterprises in our country. Prior to entering a country's market, familiarity with the country's investment legal system is essential. Therefore, both the country, the enterprise and the scholars should devote themselves to the study of the legal system of other countries in order to provide the corresponding theoretical basis for the domestic investors. With the deepening of economic and trade relations between China and the Philippines, the proportion of Chinese investment in the Philippines is increasing year by year. Undoubtedly not conducive to further development of investment relations between China and the Philippines. This paper attempts to understand and study the Philippine foreign investment law in depth and systematically. In view of the space limit, the legal system related to investment will not be analyzed concretely, but only as an incidental hint when it comes to it. Therefore, this paper will comprehensively analyze the Philippine legal system on foreign investment, taking the study of the text of the Foreign Investment Law and the Comprehensive Investment Law as the starting point, through the entry of foreign investment, foreign investment preferences and incentives, This paper analyzes the foreign investment system of the Philippines from three aspects of protection of foreign investment in order to provide suggestions for Chinese investors and safeguard the interests of Chinese investors. The first part is a brief overview of the Philippine foreign investment law, which is based on the historical development of the Philippine foreign investment law. The legislative model and legislative system are clearly displayed in order to lay the foundation of macro thinking for the writing of the last four parts. When writing on these three aspects, the article comprehensively uses the perspectives of time, space and type as the starting point of each aspect. The second part is the classification of the Philippines foreign investment access system, this part from three dimensions, including investment management agencies, investment areas and investment examination and approval system; The three blocks are divided according to whether foreign investment is initially allowed to enter, to what industries can be entered, to how to enter such logic of thinking. The third part is the Philippine foreign investment promotion system, which is based on the first two parts of the in-depth, involving how the Philippines to promote and attract foreign investment. This part first discusses the investment treatment of foreign investors, then discusses the tax relief it enjoys, and finally discusses three parts of the Philippine government's preferential policies for economically backward areas. The fourth part discusses the protection system of foreign investment in the Philippines. It analyzes the types and characteristics of the protection system of foreign investment in the Philippines from three aspects: the transfer of foreign capital profits, expropriation and dispute settlement mechanism. At the same time, on the basis of text, the various protection methods are reviewed. In the fifth part, according to the characteristics of the legal system of foreign investment in the Philippines, the countermeasures of Chinese enterprises are put forward. This part first reviews the current situation of Chinese investment in the Philippines and its impact on Chinese enterprises investing in the Philippines, and puts forward China's stand and measures to deal with the current foreign investment law in the Philippines in order to further consolidate and strengthen the interests of China's overseas investment.
