【摘要】：非上市國(guó)有公司建立強(qiáng)制性的信息披露制度,是兩權(quán)分離下滿(mǎn)足全民作為國(guó)有資產(chǎn)產(chǎn)權(quán)主體知情權(quán)的需要,是保障非上市國(guó)有公司公共職責(zé)的履行、解決信息不對(duì)稱(chēng)、完善國(guó)有公司治理機(jī)制的需要。非上市國(guó)有公司應(yīng)將公眾、人民代表大會(huì)、政府和國(guó)有資產(chǎn)監(jiān)督管理機(jī)構(gòu)作為信息披露對(duì)象,公開(kāi)國(guó)有公司概況、治理結(jié)構(gòu)、公司經(jīng)營(yíng)目標(biāo)及其實(shí)現(xiàn)情況、公司生產(chǎn)經(jīng)營(yíng)情況及財(cái)務(wù)狀況、公共職責(zé)及履行狀況、重大事項(xiàng)等信息。
[Abstract]:The establishment of mandatory information disclosure system for unlisted state-owned companies is to satisfy the needs of the whole people as the subject of property rights of state-owned assets under the separation of two rights, to ensure the performance of public duties of unlisted state-owned companies, and to solve the information asymmetry. The need to improve the governance mechanism of state-owned companies. An unlisted state-owned company shall make the public, the people's Congress, the government and the supervisory and administrative organ of state-owned assets as the object of information disclosure, and shall make public the general situation of the state-owned company, its governance structure, the company's business objectives and its realization, Company production and operation and financial situation, public duties and performance, major issues and other information.
