【摘要】：公司相關(guān)主體的利益可通過信托模式或參與模式融入公司利益。信托模式下的公司利益構(gòu)成因子呈現(xiàn)出開放的結(jié)構(gòu),但受到一定因素的制約。股東利益、雇員利益、債權(quán)人利益可成為參與模式下的公司利益構(gòu)成因子,政府利益較少成為參與模式下公司利益構(gòu)成因子。是否可成為參與模式下公司利益構(gòu)成因子應(yīng)考量必要性、可行性,并進(jìn)行成本考量。董事利益可成為信托模式下的公司利益構(gòu)成因子,但不應(yīng)成為參與模式下的公司利益構(gòu)成因子。
[Abstract]:The interests of the relevant subjects can be incorporated into the interests of the company through the trust model or the participation model. The factor of corporate interest under trust mode presents an open structure, but is restricted by certain factors. The interests of shareholders, employees and creditors can be the constituent factors of corporate interests under the participation mode, while the interests of the government are less than those of the corporate interests under the participating mode. The necessity, feasibility and cost should be taken into account. The interests of directors can be the constituent factors of corporate interests under the trust mode, but they should not be the factors of corporate interests under the participation mode.
