【摘要】：未成年人商事代理是未成年人在參與公司商業(yè)活動(dòng)的過(guò)程中,其商事權(quán)利義務(wù)由特定代理人代為行使的一種代理。由于未成年人行為能力的欠缺和維護(hù)市場(chǎng)交易秩序等原因,未成年人商事代理具有代理人資格的特殊性、代理人數(shù)量的限定性以及代理權(quán)來(lái)源的多樣性等特征,這些特征使得其與法定代理和委托代理區(qū)別開(kāi)來(lái)。綜合未成年人股東內(nèi)在規(guī)定性等多種因素考量,未成年人商事代理應(yīng)屬于獨(dú)立的代理類(lèi)型。
[Abstract]:Minors' commercial agency is a kind of agency in which the minors' commercial rights and obligations are exercised by a specific agent in the process of participating in the business activities of the company. Due to the lack of minors' capacity to act and to maintain the order of market transactions, the minors' commercial agents have the characteristics of the qualification of agents, the limitation of the number of agents and the diversity of the sources of agency rights, etc. These characteristics make it different from statutory agency and principal-agent. Considering various factors, such as the internal regulation of minor shareholders, the commercial agency of minors should belong to an independent type of agency.
