【摘要】：對(duì)我國(guó)《企業(yè)破產(chǎn)法》第31條所規(guī)定的追加物保撤銷(xiāo)權(quán),在理解和適用時(shí)不應(yīng)局限于法條的字面意思,而應(yīng)基于其立法目的予以實(shí)質(zhì)把握。實(shí)務(wù)中出現(xiàn)的諸如通過(guò)"借新還舊"對(duì)既存?zhèn)鶆?wù)予以清償并同時(shí)對(duì)新債務(wù)設(shè)立物保,債務(wù)人以自有財(cái)產(chǎn)向原本沒(méi)有反擔(dān)保的擔(dān)保人提供反擔(dān)保,雙方當(dāng)事人在設(shè)立最高額抵押權(quán)時(shí)將既存?zhèn)鶆?wù)一并納入擔(dān)保范圍,以及登記生效類(lèi)擔(dān)保物權(quán)在破產(chǎn)臨界期起算后遲延進(jìn)行登記或進(jìn)行本登記等復(fù)雜情形,均有通過(guò)"判斷債權(quán)人的受償?shù)匚皇欠裨谂R界期內(nèi)因追加物保得到提升"予以實(shí)質(zhì)審查的必要。此外,對(duì)于采登記對(duì)抗主義的擔(dān)保物權(quán),若在破產(chǎn)臨界期起算時(shí)仍未登記,破產(chǎn)程序中也不應(yīng)承認(rèn)其優(yōu)先地位。
[Abstract]:When we understand and apply the right of rescission of supplementary property insurance stipulated in Article 31 of Enterprise bankruptcy Law of our country, it should not be limited to the literal meaning of the article, but should be grasped substantively on the basis of its legislative purpose. In practice, such as the repayment of existing debts through "new repayment" and the creation of a real estate guarantee for new debts, the debtor provides counterguarantees with its own property to the guarantor, who originally did not have a counter-guarantee, When the parties establish the maximum amount of mortgage, they bring the existing obligation into the scope of the security, and the complicated circumstances such as the delay in registration or the registration of the security interest of the type of security interest that is effective in registration after the calculation of the critical period of bankruptcy, etc., There is a need for substantive examination through "judging whether the creditor's compensation status is promoted in the critical period because of the additional protection". In addition, if the security interest of registration antagonism is not registered at the time of the bankruptcy critical period, it should not be recognized as a priority in the insolvency proceedings.
