【摘要】：商業(yè)特許經(jīng)營作為一種現(xiàn)代市場經(jīng)濟(jì)下發(fā)展的經(jīng)營管理模式,已成為當(dāng)前企業(yè)發(fā)展壯大的一條必由之路,已經(jīng)被許許多多的商業(yè)企業(yè)、制造企業(yè)以及品牌服務(wù)企業(yè)等所采納。中國商業(yè)特許經(jīng)營的發(fā)展始于20世紀(jì)80年代末,當(dāng)中國的改革開放把麥當(dāng)勞、肯德基引入中國時(shí),商業(yè)特許經(jīng)營的啟蒙運(yùn)動也隨之在中國展開,一大批中國的企業(yè)和社會精英開始了勇敢和持續(xù)不斷的中國商業(yè)特許經(jīng)營之路的探索和實(shí)踐。雖然我國引入商業(yè)特許經(jīng)營模式較晚,但在短短的20多年的時(shí)間里,它取得了飛速的發(fā)展。但我們必須面對的現(xiàn)實(shí)是,與國外相比,我國的商業(yè)特許經(jīng)營模式還有很多不成熟和不規(guī)范的地方,造成這種局面的原因是多方面的,其中不乏市場機(jī)制不完善、征信體系不健全的原因,但是究其源頭,主要還是因?yàn)槲覈虡I(yè)特許經(jīng)營法律制度本身不夠完善。本文分為六大部分,第一部分是緒論,主要闡述了本文的選題背景及意義、國內(nèi)外研究動態(tài)、研究思路以及研究方法。第二部分是“商業(yè)特許經(jīng)營的理論分析”,這一部分主要闡述商業(yè)特許經(jīng)營的概念、基本特征,以及商業(yè)特許經(jīng)營的起源和發(fā)展歷程。第三部分是“國外商業(yè)特許經(jīng)營法律制度分析及啟示”。該部分在對國外商業(yè)特許經(jīng)營法律制度進(jìn)行分析的基礎(chǔ)上,提出了它對我國的啟示。第四部分是“我國商業(yè)特許經(jīng)營法律制度的現(xiàn)狀及不足”,該部分重點(diǎn)闡述了我國商業(yè)特許經(jīng)營法律制度的現(xiàn)狀,并在此基礎(chǔ)上找出了我國商業(yè)特許經(jīng)營法律制度存在的不足。第五部分是“完善我國商業(yè)特許經(jīng)營法律制度的對策”,它主要針對第四部分“我國商業(yè)特許經(jīng)營法律制度的現(xiàn)狀及不足”,針對性地提出一些完善的對策。第六部分是結(jié)論,該部分主要闡述了全文的主要內(nèi)容,對全文起到了概括總結(jié)的作用。本文的創(chuàng)新之處在于:一是以往國內(nèi)外對于商業(yè)特許經(jīng)營法律制度的研究大多局限于某一視角,而本文則從商業(yè)特許經(jīng)營法律制度整體出發(fā),充分考慮到立法的統(tǒng)一性和體系的一致性,從多角度發(fā)現(xiàn)了我國商業(yè)特許經(jīng)營法律制度存在的不足,并針對性地提出了相關(guān)對策。二是通過對比研究國外各種關(guān)于商業(yè)特許經(jīng)營的立法模式,并仔細(xì)研讀我國規(guī)范商業(yè)特許經(jīng)營領(lǐng)域的主要法律法規(guī),結(jié)合我國具體的國情,提出了關(guān)系立法模式對于我國的借鑒作用。三是針對我國對于商業(yè)特許經(jīng)營領(lǐng)域長期存在的重管理、輕民
[Abstract]:As a management mode developed under the modern market economy, commercial franchise has become the only way for enterprises to develop and grow, and has been used by many commercial enterprises. The development of commercial franchising in China began at the end of 1980s, when McDonald's and KFC were introduced into China by China's reform and opening up. The Enlightenment of commercial franchising also began in China. A large number of Chinese enterprises and social elites have begun to explore and practice the road of China's commercial franchise, which is brave and continuous. Although China introduced the commercial franchise model later, it has been in a short period of more than 20 years. It has made rapid development. However, the reality we must face is that compared with foreign countries, there are still a lot of immature and non-standard business franchise models in our country. The reasons for this situation are various. There are many reasons why the market mechanism is not perfect and the credit information system is not perfect, but the main reason is that the legal system of commercial franchising in our country is not perfect enough. This paper is divided into six parts, the first part is the introduction. This paper mainly expounds the background and significance of this paper, the domestic and foreign research trends, research ideas and research methods. The second part is "the theoretical analysis of commercial franchise", this part mainly describes the concept and basic characteristics of commercial franchise. And the origin and development of commercial franchise. The third part is "the analysis and inspiration of foreign commercial franchise legal system". This part is based on the analysis of foreign commercial franchise legal system. The article puts forward its enlightenment to our country. Part 4th is "the present situation and deficiency of our country's commercial franchise legal system", this part mainly expounds the present situation of our country's commercial franchise legal system. On the basis of this, the author finds out the deficiency of the legal system of commercial franchise in our country. Part 5th is "the countermeasure of perfecting the legal system of commercial franchise in our country", and it is mainly aimed at "the commercial franchise law of our country" in 4th part. The present situation and deficiency of the law system ", put forward some perfect countermeasure pertinently. 6th part is the conclusion, This part mainly expounds the main content of the full text, which plays a role in summing up the full text. The innovation of this paper lies in: first, most of the domestic and foreign research on the legal system of commercial franchise is limited to a certain angle of view. From the perspective of the whole legal system of commercial franchise, this paper fully considers the unity of legislation and the consistency of the system, and finds out the shortcomings of the legal system of commercial franchise in China from various angles. And put forward the relevant countermeasures. Second, through the comparative study of various foreign legislative models on commercial franchise, and carefully study the main laws and regulations in the field of regulating commercial franchise, combined with the specific situation of our country. This paper puts forward the reference function of the relationship legislation model for our country. Third, it aims at the long-term management in the field of commercial franchising in our country, neglecting the people.
