【摘要】：現(xiàn)代合同法的精神體現(xiàn)了效率與對合作剩余分配的相對公平的追求。本文討論了合同的經(jīng)濟(jì)價(jià)值和合同法提高效率的主要手段;重點(diǎn)討論了自由原則的效率性和公平性,指出格式合同對接受者的侵犯在于合作剩余分配的公平上,沒有討價(jià)還價(jià)的自由就沒有真正的合同;誠實(shí)信用原則作為帝王條款是為了提高現(xiàn)代社會信息嚴(yán)重不對稱和資產(chǎn)專用性時(shí)的效率和合作剩余分配的公平。
[Abstract]:The spirit of modern contract law embodies the relatively fair pursuit of efficiency and cooperative surplus distribution. This paper discusses the economic value of the contract and the main means of improving the efficiency of the contract law, focuses on the efficiency and fairness of the principle of freedom, and points out that the infringement of the format contract on the recipient lies in the fairness of the distribution of the cooperative surplus, and there is no real contract without the freedom of bargaining. As an imperial clause, the principle of good faith is to improve the efficiency of information asymmetry and asset specificity in modern society and the fairness of cooperative surplus distribution.
