網(wǎng)絡(luò)團(tuán)購(gòu)若干法律問(wèn)題探析

【摘要】:網(wǎng)絡(luò)團(tuán)購(gòu)雖給我們帶來(lái)了全新的購(gòu)物體驗(yàn),然而這層新鮮感的背后也伴隨著諸多法律問(wèn)題,使網(wǎng)絡(luò)團(tuán)購(gòu)行業(yè)喜憂參半。本文根據(jù)網(wǎng)絡(luò)團(tuán)購(gòu)活動(dòng)的特點(diǎn),從網(wǎng)絡(luò)團(tuán)購(gòu)流程的各個(gè)環(huán)節(jié)入手,著重分析網(wǎng)絡(luò)團(tuán)購(gòu)合同的效力問(wèn)題以及團(tuán)購(gòu)網(wǎng)站經(jīng)營(yíng)者這一網(wǎng)絡(luò)團(tuán)購(gòu)中的核心主體的法律地位和法律責(zé)任,最后站在消費(fèi)者的角度努力尋求保護(hù)途徑,理論結(jié)合實(shí)踐,明晰網(wǎng)絡(luò)團(tuán)購(gòu)中存在的各類法律問(wèn)題。 本文主要從四個(gè)方面對(duì)網(wǎng)絡(luò)團(tuán)購(gòu)中的法律問(wèn)題進(jìn)行分析:第一章,通過(guò)-則網(wǎng)絡(luò)團(tuán)購(gòu)的案例反映出目前網(wǎng)絡(luò)團(tuán)購(gòu)交易中存在著各類法律問(wèn)題和漏洞,并借此引出網(wǎng)絡(luò)團(tuán)購(gòu)的概念、特點(diǎn)和運(yùn)營(yíng)模式并加以介紹和總結(jié);第二章,主要分析網(wǎng)絡(luò)團(tuán)購(gòu)合同在合同效力上的問(wèn)題,并運(yùn)用現(xiàn)有合同法理論對(duì)其作法律分析,使網(wǎng)絡(luò)團(tuán)購(gòu)合同從訂立到履行整個(gè)過(guò)程中都有法可依,在遇到常見(jiàn)的網(wǎng)絡(luò)團(tuán)購(gòu)合同效力問(wèn)題時(shí)也有法可循;第三章,主要解決團(tuán)購(gòu)網(wǎng)站經(jīng)營(yíng)者的法律地位及法律責(zé)任問(wèn)題,在為網(wǎng)站經(jīng)營(yíng)者找到概念的歸屬后,通過(guò)對(duì)比各個(gè)學(xué)說(shuō)和觀點(diǎn)對(duì)網(wǎng)站經(jīng)營(yíng)者作出法律上的定位,然后以契約論和安全保障義務(wù)作為切入點(diǎn),著重分析團(tuán)購(gòu)網(wǎng)站經(jīng)營(yíng)者應(yīng)承擔(dān)的約定義務(wù)和法定義務(wù),再根據(jù)這些義務(wù)進(jìn)一步分析其法律責(zé)任的承擔(dān),以達(dá)到行業(yè)自治和法律調(diào)控的統(tǒng)一;第四章,從保護(hù)消費(fèi)者權(quán)益的角度出發(fā),針對(duì)網(wǎng)絡(luò)團(tuán)購(gòu)中存在的各種問(wèn)題進(jìn)行分析,再?gòu)男袠I(yè)自治和政府調(diào)控兩個(gè)方面逐一解決,以完善目前比較混亂的網(wǎng)絡(luò)團(tuán)購(gòu)市場(chǎng)。
[Abstract]:Although the online group purchase has brought us a new shopping experience, there are also many legal problems behind this fresh feeling, which makes the online group purchase industry mixed. According to the characteristics of the online group purchase activities, this paper starts with the various links of the network group purchase process, and analyzes emphatically the validity of the network group purchase contract and the legal status and legal responsibility of the network group purchase website operator, the core subject of the network group purchase. Finally, from the consumer's point of view, try to seek ways to protect, theory combined with practice, clear all kinds of legal problems in the network group purchase. This paper mainly analyzes the legal problems in the online group purchase from four aspects: chapter one, through the case of the online group purchase, reflects that there are various legal problems and loopholes in the network group purchase transaction at present. The concept, characteristics and operation mode of network group purchase are introduced and summarized. The second chapter mainly analyzes the problems of the contract effectiveness of the online group purchase contract, and applies the existing contract law theory to make the legal analysis of the network group purchase contract from the conclusion to the performance of the whole process. In the face of common online group purchase contract effectiveness problems, there are also laws to follow; The third chapter, mainly solves the legal status and the legal responsibility of the website operator, after finding the concept attribution for the website operator, makes the legal position to the website operator through the comparison each theory and the viewpoint, Then the contract theory and security obligations are taken as the starting point to analyze the contractual obligations and legal obligations of group buying website operators, and then to further analyze their legal liability according to these obligations. To achieve the unity of industry autonomy and legal regulation; The fourth chapter, from the angle of protecting consumers' rights and interests, analyzes various problems existing in online group buying, and then solves them one by one from two aspects of industry autonomy and government regulation and control, in order to perfect the current chaotic network group buying market.
