網(wǎng)絡(luò)團(tuán)購法律問題研究

【摘要】:隨著互聯(lián)網(wǎng)的普及和人們消費(fèi)方式的變化,網(wǎng)絡(luò)團(tuán)購這一購物方式逐漸成為消費(fèi)者追捧的消費(fèi)形態(tài)。由于網(wǎng)絡(luò)團(tuán)購興起時(shí)間短,現(xiàn)行法律對其缺乏有效的規(guī)制,導(dǎo)致消費(fèi)者針對網(wǎng)絡(luò)團(tuán)購的投訴和因網(wǎng)絡(luò)團(tuán)購引發(fā)的民事糾紛不斷增加。因此,想要引導(dǎo)整個(gè)網(wǎng)絡(luò)團(tuán)購行業(yè)健康發(fā)展,對網(wǎng)絡(luò)團(tuán)購進(jìn)行有效的法律規(guī)制就成為迫切需要解決的問題。 本論文共分為五部分進(jìn)行研究。論文的第一部分從團(tuán)購的概念、網(wǎng)絡(luò)團(tuán)購的概念、網(wǎng)絡(luò)團(tuán)購的參與主體入手,概括地介紹了網(wǎng)絡(luò)團(tuán)購的基本情況,從法學(xué)的角度出發(fā)將網(wǎng)絡(luò)團(tuán)購定義為一種民事活動(dòng)。論文的第二部分主要分析網(wǎng)絡(luò)團(tuán)購參與主體之間的民事法律關(guān)系和各自的權(quán)利義務(wù),將商家與消費(fèi)者之間的關(guān)系界定為買賣合同關(guān)系,將商家與團(tuán)購網(wǎng)站之間的關(guān)系界定為委托合同關(guān)系,將團(tuán)購網(wǎng)站與消費(fèi)者之間的關(guān)系界定為居間合同關(guān)系。論文的第四部分分析了網(wǎng)絡(luò)團(tuán)購協(xié)議的成立和生效問題。消費(fèi)者做出購買承諾到達(dá)團(tuán)購網(wǎng)站系統(tǒng)的時(shí)間為網(wǎng)絡(luò)團(tuán)購協(xié)議的成立時(shí)間,團(tuán)購網(wǎng)站的主營業(yè)地或者其經(jīng)常居住地為網(wǎng)絡(luò)團(tuán)購協(xié)議成立的地點(diǎn)。附生效條件的網(wǎng)絡(luò)團(tuán)購協(xié)議,條件成就時(shí)協(xié)議生效;附生效時(shí)間的網(wǎng)絡(luò)團(tuán)購協(xié)議,時(shí)間到來時(shí)協(xié)議生效。論文的第四部分從網(wǎng)絡(luò)團(tuán)購行業(yè)的發(fā)展現(xiàn)狀出發(fā),肯定了網(wǎng)絡(luò)團(tuán)購具有提升消費(fèi)者對商家的議價(jià)能力,為商家增加成交機(jī)會(huì),為團(tuán)購網(wǎng)站帶來可觀收益等積極作用;但同時(shí)存在網(wǎng)絡(luò)團(tuán)購當(dāng)事人之間民事法律關(guān)系不明晰、現(xiàn)行法律對團(tuán)購網(wǎng)站缺乏準(zhǔn)入限制、消費(fèi)者權(quán)利受到侵害等諸多問題。論文的第五部分就網(wǎng)絡(luò)團(tuán)購行業(yè)存在的主要問題提出規(guī)制網(wǎng)絡(luò)團(tuán)購的法律建議。筆者建議,通過《合同法》司法解釋的形式明確網(wǎng)絡(luò)團(tuán)購三方主體之間的民事法律關(guān)系,,并將團(tuán)購網(wǎng)站對消費(fèi)者承擔(dān)的約定義務(wù)規(guī)定為法定義務(wù)。通過建立網(wǎng)絡(luò)團(tuán)購行業(yè)準(zhǔn)入和備案制度,規(guī)范網(wǎng)絡(luò)團(tuán)購市場準(zhǔn)入。通過加強(qiáng)對網(wǎng)絡(luò)團(tuán)購消費(fèi)者的知情權(quán)和安全保障權(quán)的保護(hù)、設(shè)立猶豫期制度、設(shè)立保證金制度來保護(hù)網(wǎng)絡(luò)團(tuán)購中的消費(fèi)者。
[Abstract]:With the popularization of the Internet and the change of people's consumption mode, the online group purchase has gradually become the consumption pattern of consumers. Due to the short rise time of online group buying and the lack of effective regulation in the current law, consumers' complaints against online group purchase and civil disputes caused by online group purchase are increasing. Therefore, in order to guide the healthy development of the whole online group purchase industry, it is urgent to solve the problem of effective legal regulation of the online group purchase. This thesis is divided into five parts. The first part of the paper starts with the concept of group buying and the participants of online group buying, introduces the basic situation of online group buying, and defines it as a kind of civil activity from the angle of law. The second part of the paper mainly analyzes the civil legal relationship and their respective rights and obligations between the participants in the online group purchase, and defines the relationship between the merchant and the consumer as the relationship of sale and purchase contract. The relationship between the merchant and the group purchase website is defined as entrustment contract relationship, and the relationship between the group purchase website and the consumer is defined as the intermediary contract relationship. The fourth part of the paper analyzes the establishment and effectiveness of the network group purchase agreement. The time when consumers make purchase promises to reach the group purchase website system is the time of the establishment of the online group purchase agreement, and the main place of business of the group purchase website or its regular place of residence is the place where the network group purchase agreement is established. The network group purchase agreement with the effective condition, the agreement when the condition is successful, and the network group purchase agreement with the effective time, when the time comes, the agreement comes into effect. The fourth part of the paper starts from the current situation of the development of the network group purchase industry, affirms that the network group purchase has the positive function such as enhancing the bargaining ability of the consumer to the merchant, increasing the transaction opportunity for the businessman, bringing considerable profit for the group purchase website, etc. But at the same time, there are many problems such as unclear civil legal relationship between online group buying parties, lack of access restrictions on group purchase website in current law, infringement of consumers' rights, and so on. In the fifth part, the author puts forward some legal suggestions on the regulation of online group buying. The author suggests that through the judicial interpretation of contract Law, the civil legal relationship between the three subjects of online group buying should be clarified, and the contractual obligation of the group purchase website to consumers should be stipulated as the legal obligation. Through the establishment of network group buying industry access and record-keeping system, regulate network group purchase market access. By strengthening the protection of the right to know and the right to safety and security of the online group buying consumers, the system of hesitant period and the system of margin should be established to protect the consumers in the online group purchase.
