【摘要】：單邊續(xù)約條款與保留條款、選擇條款一樣是球員運(yùn)動(dòng)生命的控制機(jī)制,在性質(zhì)是合同上的形成權(quán),具有拘束球員意思自治的法效果,因而常因違反國(guó)際足聯(lián)規(guī)則的基本原則而被認(rèn)定無(wú)效。然而,格雷米奧案是最近的一起國(guó)際體育仲裁院裁定單邊續(xù)約條款具有合法性的案例,本案的法律推理過(guò)程,重申了國(guó)際體育仲裁院在單邊選擇條款合法性判斷上的個(gè)案審查義務(wù),凸顯其審慎地維持著合同穩(wěn)定性與球員自由流動(dòng)之間的平衡。本案的裁決產(chǎn)生了戲劇性效果:俱樂部雖然贏得了在單邊續(xù)約選擇條款合法性判斷上的支持,但是卻未因此獲得任何違約賠償,成為一場(chǎng)零和游戲。本案帶給俱樂部、球員和足球主管機(jī)構(gòu)的啟示是,當(dāng)事人應(yīng)當(dāng)嚴(yán)格按照國(guó)際足聯(lián)規(guī)則所確定的合同法基本原則行事,足球主管機(jī)構(gòu)應(yīng)摒棄在標(biāo)準(zhǔn)球員合同中使用單邊續(xù)約選擇條款,同時(shí)注意對(duì)破壞合同穩(wěn)定性的行為進(jìn)行體育制裁。
[Abstract]:The unilateral contract renewal clause and the reservation clause and the choice clause are the control mechanism of the player's sports life, and the nature is the formation right of the contract, which has the legal effect of binding the player's autonomy of the will. As a result, it is often found null and void for violating the basic principles of FIFA rules. However, the Grameo case is a recent case in which the International Court of Sports Arbitration has ruled that unilateral contract renewal clauses are legitimate, the legal reasoning process of the case. It restates the case review obligation of the International Sports Arbitration Court in judging the legality of unilateral selection clause, which highlights the balance between the stability of the contract and the free flow of players. The ruling in this case has had a dramatic effect: the club has won support for the legality of the unilateral renewal option, but has not received any damages for breach of contract, becoming a zero-sum game. The revelation of the case to clubs, players and football authorities is that the parties should act strictly in accordance with the basic principles of contract law established by FIFA rules, Football authorities should abandon the use of unilateral contract renewal clauses in standard players' contracts and pay attention to sports sanctions for acts that undermine the stability of contracts.
