【摘要】：我國(guó)正處于經(jīng)濟(jì)轉(zhuǎn)型時(shí)期，國(guó)內(nèi)企業(yè)面臨著激烈的競(jìng)爭(zhēng)環(huán)境，企業(yè)一方面通過(guò)產(chǎn)業(yè)整合來(lái)擴(kuò)大企業(yè)規(guī)模，另一方面需要通過(guò)加強(qiáng)對(duì)人力資源的投入提高企業(yè)的運(yùn)營(yíng)效率，提高企業(yè)的市場(chǎng)競(jìng)爭(zhēng)力。這種背景下，企業(yè)并購(gòu)與解雇的并行是中國(guó)企業(yè)成長(zhǎng)的必經(jīng)階段。企業(yè)并購(gòu)中不僅勞動(dòng)關(guān)系處于不穩(wěn)定的狀態(tài)，企業(yè)的解雇行為更是侵害到到勞動(dòng)者的諸多權(quán)益。勞動(dòng)合同法雖然專門規(guī)定了勞動(dòng)合同繼承制度，但仍存在很多不合理與不完善的地方，雖然對(duì)解雇的條件做出了細(xì)致的規(guī)定，但仍然存在著法律理論和實(shí)踐上的矛盾。我國(guó)現(xiàn)行立法和法學(xué)理論研究對(duì)于企業(yè)并購(gòu)的關(guān)注點(diǎn)，偏重于并購(gòu)方與被并購(gòu)方的權(quán)利義務(wù)的研究，，對(duì)資產(chǎn)問(wèn)題、股東權(quán)益問(wèn)題等關(guān)注較多，而往往忽略了企業(yè)并購(gòu)中的勞動(dòng)者權(quán)益保護(hù)問(wèn)題。本文通過(guò)分析企業(yè)并購(gòu)中具體的勞動(dòng)者權(quán)益，探究在企業(yè)并購(gòu)中保護(hù)勞動(dòng)者權(quán)益的理論基礎(chǔ)，并重點(diǎn)分析與企業(yè)并購(gòu)中勞動(dòng)者權(quán)益密切相關(guān)的勞動(dòng)合同繼承和解雇保護(hù)制度，嘗試提出一些改進(jìn)方案。
[Abstract]:Our country is in the economic transition period, the domestic enterprise faces the fierce competition environment, on the one hand, the enterprise expands the enterprise scale through the industrial integration, on the other hand, needs to enhance the enterprise's operation efficiency through the enhancement to the human resources investment. Improve the market competitiveness of enterprises. Under this background, M & A and dismissal are the necessary stages of the growth of Chinese enterprises. In M & A, not only labor relations are in unstable state, but also the dismissal of enterprises infringes on the rights and interests of workers. Although the labor contract law specifically stipulates the inheritance system of labor contract, there are still many unreasonable and imperfect places. Although the conditions of dismissal are carefully stipulated, there are still contradictions in legal theory and practice. In our country, the current legislation and the theory of law pay more attention to the enterprise merger and acquisition, pay more attention to the rights and obligations of the M & A party and the acquired party, and pay more attention to the asset problem, the shareholder's rights and interests and so on. But often neglected the enterprise merger and acquisition in the laborer rights protection question. By analyzing the specific rights and interests of workers in M & A, this paper explores the theoretical basis of protecting the rights and interests of workers in M & A, and focuses on the labor contract inheritance and dismissal protection system, which is closely related to the rights and interests of workers in M & A. Try to put forward some improvement schemes.
