破產(chǎn)程序中融資租賃合同的處理規(guī)則

【摘要】:我國自從上世紀(jì)八十年代引入融資租賃交易以來,在法律上一直沒有受到足夠的重視,直到1999年通過的《合同法》才設(shè)專章規(guī)定了融資租賃,對融資租賃行業(yè)的破產(chǎn)法適用的研究更是少之又少。本文選擇對融資租賃破產(chǎn)法律問題進(jìn)行深入的研究和論述,試圖為破產(chǎn)程序中遇到的融資租賃合同提供盡可能周延的解決方案。 本文共分為四個部分。第一章討論了融資租賃的概念和特征,以及學(xué)界對融資租賃法律性質(zhì)的不同界定。隨后提出作者欲通過本文解決的問題。 第二部分主要討論融資租賃合同中租賃物的歸屬問題,融資租賃破產(chǎn)最終是圍繞著破產(chǎn)財產(chǎn)展開的,而租賃物的所有權(quán)歸屬對承租人與出租人來說都是至關(guān)重要。鑒于隨著租期的進(jìn)行承租人在租賃物上的利益越來越大,以及承租人在租賃合同中履行的近似于租賃物所有權(quán)人才承擔(dān)的義務(wù)。因此本文借鑒價值區(qū)分所有權(quán)理論,通過構(gòu)建一種實質(zhì)上的動態(tài)按份共有來明晰出租人與承租人在租賃物上的關(guān)系,,為下文解決承租人與出租人破產(chǎn)的問題做好鋪墊。 第三部分主要解決承租人破產(chǎn)的問題,分析了承租人破產(chǎn)時的法律適用問題。主要解決了兩個問題:一是承租人破產(chǎn)時的破產(chǎn)財產(chǎn)范圍;二是出租人的損害賠償請求權(quán)和其取回租賃物后的清算義務(wù)。 第四部分主要討論破產(chǎn)人為出租人時的法律適用規(guī)則,提出了對出租人破產(chǎn)時其破產(chǎn)管理人解約權(quán)的限制。隨后討論了對租賃物的處理,一者承租人可以通過提前支付租金的方式取得租賃物的所有權(quán);再者提出當(dāng)承租人無力支付大筆資金的情況下,出租人得將融資租賃合同轉(zhuǎn)讓,以避免收回租賃物給雙方造成巨大損失。
[Abstract]:Since the introduction of financial leasing transactions in the 1980s, China has not paid enough attention to the law, until the "contract Law" was passed in 1999 to establish a special chapter on financial leasing.The research on the application of bankruptcy law in financial leasing industry is even less.In this paper, we choose to study and discuss the legal problems of financial lease bankruptcy deeply, and try to provide the most comprehensive solution for the financial lease contract encountered in the bankruptcy process.This paper is divided into four parts.The first chapter discusses the concept and characteristics of financial lease, as well as the different definitions of the legal nature of financial lease.Then the author puts forward the problem that the author wants to solve through this article.The second part mainly discusses the ownership of the lease item in the financial lease contract. The bankruptcy of the financial lease ultimately revolves around the bankruptcy property, and the ownership of the lease property is very important to both the lessee and the lessor.In view of the increasing interest of the lessee in the lease item as the lease goes on and the obligations performed by the lessee in the lease contract are similar to those of the person who owns the lease item.Therefore, this paper draws lessons from the theory of value differentiated ownership, through the construction of a dynamic co-ownership in essence to clarify the relationship between the lessor and the lessee on the lease item, for the following to solve the problem of lessee and lessor bankruptcy.The third part mainly solves the problem of the lessee's bankruptcy and analyzes the legal application of the lessee's bankruptcy.It mainly solves two problems: one is the scope of the bankrupt property of the lessee, the other is the lessor's claim for damages and the liquidation obligation of the lessor after taking back the lease item.The fourth part mainly discusses the applicable rules of the law when the bankrupt is the lessor, and puts forward the limitation on the right of the lessor's bankruptcy administrator to terminate the contract.Then it discusses the treatment of the lease item, one lessee can acquire the ownership of the lease item by paying the rent in advance, and it is proposed that when the lessee is unable to pay a large sum of funds, the lessor may transfer the financial lease contract.To avoid the loss of the lease item to both parties.
