【摘要】：正2004年7月5日,國務(wù)院法制辦下發(fā)了《中華人民共和國公司法(修改草案)》征求意見稿。這是該法頒布施行以后的首次大規(guī)模修訂,不但吸收了外國公司法的諸多優(yōu)秀成果,而且盡可能地解決該法施行中出現(xiàn)的實際問題。它將徹底改變我國現(xiàn)行《公司法》主要為國有企業(yè)改制服務(wù)的功利目的,并彌補現(xiàn)行法上的疏漏。公司法的組織法特征,決定了它必然有別于合同法、票據(jù)法、海商法、保險法等其他民商事法律,要求在立法技術(shù)上更貼近本國國
[Abstract]:On July 5th 2004, the legal Office of the State Council issued a draft for comments on the Company Law of the people's Republic of China (revised draft), which is the first large-scale revision of the Law since its promulgation and implementation. It not only absorbs many outstanding achievements of foreign company law. And as far as possible to solve the practical problems in the implementation of the law, it will completely change the current "Company Law" of our country, mainly for the purpose of state-owned enterprises reform of the utilitarian purpose. The organizational characteristics of company law determine that it must be different from other civil and commercial laws, such as contract law, negotiable instrument law, maritime law, insurance law and so on.
