【摘要】：當(dāng)今社會(huì),隨著經(jīng)濟(jì)全球化的發(fā)展,世界各國(guó)的貿(mào)易與商務(wù)往來(lái)不斷增強(qiáng),作為國(guó)際運(yùn)輸?shù)闹饕褪走x交通工具,航空運(yùn)輸業(yè)得到了進(jìn)一步的發(fā)展,各行各業(yè)對(duì)航空器與航空設(shè)備的需求量也在日益劇增。但航空設(shè)備價(jià)格昂貴,其高成本、慢回報(bào)的特點(diǎn)讓各大航空公司偏向于通過(guò)租賃來(lái)代替購(gòu)買(mǎi),航空器融資租賃也因此應(yīng)運(yùn)而生。航空器融資租賃作為一種融資形式,能夠極大的緩解航空公司的資金與成本限制,幫助航空公司以較低的價(jià)格購(gòu)入其所需要的航空設(shè)備,以擴(kuò)大其公司規(guī)模與產(chǎn)能,進(jìn)而推動(dòng)航空產(chǎn)業(yè)的繁榮。目前航空器融資租賃已被世界各國(guó)廣泛運(yùn)動(dòng),國(guó)家間的航空器租賃需要相應(yīng)的國(guó)際條約來(lái)予以保護(hù)。在多國(guó)共同努力推動(dòng)下,國(guó)際民航組織和國(guó)際統(tǒng)一私法協(xié)會(huì)通過(guò)了《移動(dòng)設(shè)備國(guó)際利益公約》和《移動(dòng)設(shè)備國(guó)際利益公約關(guān)于航空器設(shè)備特定問(wèn)題的議定書(shū)》,二者合稱(chēng)為《開(kāi)普敦公約》(Cape Town Convention)�！堕_(kāi)普敦公約》旨在建立調(diào)整跨境間航空設(shè)備的擔(dān)保、產(chǎn)權(quán)保留與租賃利益的法律制度,在保障承租人利益的同時(shí),也給租賃人以必要的保證。2009年6月1日,《開(kāi)普敦公約》在我國(guó)生效,本文將對(duì)《開(kāi)普敦公約》的重要條款與基本原則進(jìn)行分析,探討其在航空器融資租賃領(lǐng)域的保護(hù)救濟(jì)制度,并通過(guò)對(duì)世界各國(guó)的融資租賃模式的研究,以進(jìn)一步討論我國(guó)在加入《開(kāi)普敦公約》后應(yīng)如何完善國(guó)內(nèi)相關(guān)法律法規(guī),并據(jù)此解決國(guó)內(nèi)法與《開(kāi)普敦公約》的差異,完善我國(guó)航空器融資租賃制度,推動(dòng)我國(guó)航空產(chǎn)業(yè)的發(fā)展。本文主要分為四部分。第一部分主要介紹《開(kāi)普敦公約》的產(chǎn)生背景及內(nèi)容,分析其規(guī)制航空器融資租賃的條款,介紹締約國(guó)加入該公約后可享受的保護(hù)利益。第二部分將介紹航空器融資租賃的概念及其相關(guān)傳統(tǒng),并分析對(duì)比航空器融資租賃在世界各國(guó)的現(xiàn)狀和操作流程。第三部分詳細(xì)介紹我國(guó)航空器融資租賃狀況,分析其優(yōu)勢(shì)、缺陷與不足,以及適用《開(kāi)普敦公約》后,將對(duì)我國(guó)融資租賃產(chǎn)業(yè)產(chǎn)生什么影響,著重從積極影響與阻礙兩方面進(jìn)行剖析。第四部分在基于前三部分的基礎(chǔ)上,對(duì)我國(guó)航空器融資租賃提出未來(lái)發(fā)展建議,以應(yīng)對(duì)《開(kāi)普敦公約》的適用,促使國(guó)內(nèi)產(chǎn)業(yè)與國(guó)際公約早日接軌,并總結(jié)相關(guān)的完善措施及相應(yīng)法律保障體系的構(gòu)建。
[Abstract]:In today's society, with the development of economic globalization, the trade and business exchanges of various countries in the world continue to increase, and as the main and preferred means of transportation for international transport, the air transport industry has been further developed. The demand for aircraft and aviation equipment is also increasing day by day in various industries. But aviation equipment is expensive, its high-cost, slow-return characteristics make the major airlines prefer to lease instead of purchase, aircraft financing lease has emerged as the times require. Aircraft financing lease, as a form of financing, can greatly ease the funding and cost constraints of airlines and help airlines to purchase the aviation equipment they need at lower prices, in order to expand the size and capacity of their companies. And then promote the prosperity of the aviation industry. At present, aircraft finance lease has been widely used all over the world, and inter-country aircraft lease needs corresponding international treaties to protect. Driven by concerted efforts by the International Civil Aviation Organization and the International Institute for the Unification of Private Law, which adopted the Convention on International interests in Mobile equipment and the Protocol to the Convention on International interests in Mobile equipment on specific issues relating to aircraft equipment, The (Cape Town Convention). Convention, collectively known as the Cape Town Convention, aims to establish a legal regime regulating the security, retention of title and tenancy interests of cross-border aviation equipment, while protecting the interests of the lessee. On 1 June 2009, the Cape Town Convention entered into force in our country, and this article will analyse the important provisions and basic principles of the Cape Town Convention, To explore its system of protection and relief in the field of aircraft financial lease, and to further discuss how to improve the relevant domestic laws and regulations after China's accession to the Cape Town Convention through the study of the mode of financial lease in all countries of the world, Based on this, the difference between domestic law and Cape Town Convention is solved, and the aircraft financing lease system in China is improved, and the development of aviation industry in China is promoted. This paper is divided into four parts. The first part mainly introduces the background and content of Cape Town Convention, analyzes its provisions regulating aircraft financial lease, and introduces the protection benefits that States parties can enjoy after joining the Convention. The second part will introduce the concept of aircraft financial lease and its related tradition, and analyze and compare the current situation and operation process of aircraft financial lease in the world. The third part introduces in detail the status of aircraft financial leasing in China, analyzes its advantages, shortcomings and deficiencies, and what impact it will have on China's financial leasing industry after the application of the Cape Town Convention. Focus on the positive impact and hindrance two aspects to carry on the analysis. The fourth part, on the basis of the first three parts, puts forward some suggestions for the future development of aircraft financing lease in China, in order to deal with the application of the Cape Town Convention and promote the early integration of domestic industries with international conventions. And summarize the relevant improvement measures and the construction of the corresponding legal protection system.
