【摘要】：中國(guó)—東盟自由貿(mào)易區(qū)成立已經(jīng)7周年了,對(duì)于中國(guó)“走出去”的國(guó)際戰(zhàn)略起到了重大的示范作用,也是中國(guó)“一帶一路”戰(zhàn)略的重要體現(xiàn)。近年來(lái),中國(guó)和越南之間的經(jīng)貿(mào)合作蓬勃發(fā)展,在中國(guó)政府力主企業(yè)“走出去”的大背景下,中國(guó)企業(yè)對(duì)越南的直接投資將會(huì)更加便利,中越兩國(guó)之間的經(jīng)貿(mào)合作將會(huì)進(jìn)一步加強(qiáng),中國(guó)企業(yè)對(duì)越南的投資將會(huì)進(jìn)入一個(gè)高速的增長(zhǎng)期。中國(guó)企業(yè)在國(guó)內(nèi)產(chǎn)業(yè)升級(jí)和經(jīng)濟(jì)結(jié)構(gòu)轉(zhuǎn)變的大背景下,可以利用自身較強(qiáng)的資金優(yōu)勢(shì)和技術(shù)優(yōu)勢(shì),結(jié)合越南相對(duì)廉價(jià)的各項(xiàng)資源和較為優(yōu)惠的投資政策,從而能獲得較大的投資收益。但中國(guó)企業(yè)投資越南面臨的情況不同于國(guó)內(nèi),像這種跨國(guó)投資,將會(huì)面臨比國(guó)內(nèi)更多的法律風(fēng)險(xiǎn),尤其是法律規(guī)定不同帶來(lái)的法律風(fēng)險(xiǎn)。本文從研究越南投資法律制度特點(diǎn)入手,分析中國(guó)企業(yè)在越南投資可能會(huì)面臨的多種法律風(fēng)險(xiǎn),重點(diǎn)是為中國(guó)企業(yè)“走出去”提供法律方面的建議和意見(jiàn),以維護(hù)中國(guó)企業(yè)的合法權(quán)益。本文總共分為四部分,共約兩萬(wàn)兩千字。第一部分為論文引言,介紹了本文的研究背景、研究意義和研究方法,重點(diǎn)說(shuō)明本文的寫作價(jià)值。第二部分為論文第一章,主要探討了越南優(yōu)越的投資環(huán)境,分析了中國(guó)企業(yè)在越南的投資現(xiàn)狀和投資優(yōu)勢(shì)。第三部分為論文第二章,在評(píng)述越南投資法律制度的基礎(chǔ)上,重點(diǎn)深入分析了中國(guó)企業(yè)在越南面臨的法律風(fēng)險(xiǎn)。越南目前已經(jīng)構(gòu)建起一個(gè)由越南國(guó)內(nèi)投資法、雙邊投資協(xié)定(本文主要討論中越雙邊投資協(xié)定)、區(qū)域投資協(xié)定和多邊投資協(xié)定四個(gè)層面組成的投資法律制度體系。但是越南的投資法律制度存在著這樣一些缺陷,例如越南的法律制度還不夠健全,越南國(guó)內(nèi)相關(guān)法律與中國(guó)法律沖突,這些缺陷將會(huì)給在越南投資的中國(guó)企業(yè)帶來(lái)一系列的法律風(fēng)險(xiǎn)。第四部分為論文第三章,重點(diǎn)討論中國(guó)企業(yè)越南投資法律風(fēng)險(xiǎn)的防范對(duì)策。主要從政府部門、企業(yè)自身經(jīng)營(yíng)兩個(gè)不同的角度出發(fā),提出了一系列切實(shí)有效的能促進(jìn)中國(guó)企業(yè)對(duì)外投資發(fā)展并降低中國(guó)企業(yè)投資法律風(fēng)險(xiǎn)的措施和方法。
[Abstract]:China-ASEAN Free Trade area (CAFTA) has been established for 7 years, which plays an important role in demonstrating China's "going out" international strategy and is also an important embodiment of China's "Belt and Road" strategy. In recent years, the economic and trade cooperation between China and Vietnam has flourished. Under the background of the Chinese government urging enterprises to "go out," the direct investment of Chinese enterprises in Vietnam will be more convenient. Economic and trade cooperation between China and Vietnam will be further strengthened and Chinese investment in Vietnam will enter a period of rapid growth. Against the backdrop of domestic industrial upgrading and economic restructuring, Chinese enterprises can take advantage of their strong capital and technological advantages, combine Vietnam's relatively cheap resources and more favorable investment policies. Thus can obtain the big investment income. But the situation for Chinese enterprises to invest in Vietnam is different from that in China, such as this kind of transnational investment, will face more legal risks than domestic ones, especially the legal risks caused by different laws and regulations. Starting with the study of the characteristics of Vietnam's investment legal system, this paper analyzes the legal risks that Chinese enterprises may face in investing in Vietnam, with the emphasis on providing legal advice and advice for Chinese enterprises to "go out". To safeguard the legitimate rights and interests of Chinese enterprises. This article is divided into four parts, a total of about 22000 words. The first part is the introduction of the paper, which introduces the research background, research significance and research methods, focusing on the writing value of this paper. The second part is the first chapter of the thesis, mainly discusses the superior investment environment of Vietnam, analyzes the investment status and advantages of Chinese enterprises in Vietnam. The third part is the second chapter of the thesis. On the basis of reviewing the legal system of Vietnam's investment, the author analyzes the legal risks faced by Chinese enterprises in Vietnam. At present, Vietnam has constructed an investment legal system composed of four levels: Vietnam's domestic investment law, bilateral investment agreement (bits), regional investment agreement (RIA) and multilateral investment agreement (mai). However, there are some defects in Vietnam's investment legal system. For example, Vietnam's legal system is not perfect enough. Vietnam's domestic laws conflict with Chinese laws. These flaws will create a series of legal risks for Chinese companies investing in Vietnam. The fourth part is the third chapter of the thesis, focusing on the prevention of legal risks of Chinese enterprises investment in Vietnam. From two different angles of government department and enterprise's own management, this paper puts forward a series of practical and effective measures and methods which can promote the development of Chinese enterprises' foreign investment and reduce the legal risk of Chinese enterprises' investment.
