【摘要】：流轉(zhuǎn)是提單的重要特性之一,對(duì)于新興的電子提單,也是一樣。但是電子提單的流轉(zhuǎn)法律制度尚未有太多學(xué)者涉及,本文將對(duì)電子提單流轉(zhuǎn)模式的相關(guān)問(wèn)題進(jìn)行初步探討。 本文的論述將按以下順序進(jìn)行： 第一章對(duì)電子提單及相關(guān)概念進(jìn)行了概述。首先介紹了傳統(tǒng)提單的概念和在當(dāng)今國(guó)際貿(mào)易中的作用,進(jìn)而介紹了電子提單區(qū)別于傳統(tǒng)提單的特殊性,闡述了電子提單相較于傳統(tǒng)提單在流轉(zhuǎn)模式上的區(qū)別。由于這些優(yōu)勢(shì),使電子提單取代傳統(tǒng)提單成為了可能。然后論述了電子提單的發(fā)展趨勢(shì)以及相關(guān)立法問(wèn)題。 第二章主要論述電子提單流轉(zhuǎn)模式的法律基礎(chǔ)。首先概述了提單流通性,進(jìn)而說(shuō)明電子提單要想順利流通必須確立功能等同原則,法律上應(yīng)當(dāng)對(duì)該原則進(jìn)行立法確認(rèn)。這樣才能給電子提單像傳統(tǒng)提單一樣流轉(zhuǎn)奠定法律基礎(chǔ)。 第三章主要論述了電子提單流轉(zhuǎn)模式的具體法律制度。首先表明了電子提單實(shí)踐中流通的基礎(chǔ),分別基于當(dāng)事人之間的合同、基于電子提單立法。然后,就電子提單實(shí)踐中的流通模式進(jìn)行了詳細(xì)分析。介紹了三種主要模式,即SeaDocs模式、CMI模式、Bolero模式。對(duì)各個(gè)模式下提單的簽發(fā)、轉(zhuǎn)讓、交付做了較為詳細(xì)說(shuō)明。并對(duì)各個(gè)模式的優(yōu)缺點(diǎn)進(jìn)行了簡(jiǎn)要介紹。最后,并且對(duì)于實(shí)踐中流通模式做了相應(yīng)思考。 第四章主要分析了電子提單流轉(zhuǎn)模式需要的具體法律制度,闡述了如何進(jìn)行電子提單流轉(zhuǎn)模式的法律建構(gòu)。提出明確電子提單流轉(zhuǎn)性的立法建議,提出電子提單流轉(zhuǎn)模式的發(fā)展趨勢(shì)是根據(jù)強(qiáng)制性國(guó)際公約建立世界范圍統(tǒng)一的電子提單流通模式。
[Abstract]:Circulation is one of the important characteristics of bill of lading, and so is the emerging electronic bill of lading. However, there are not too many scholars involved in the legal system of the circulation of electronic bills of lading. This paper will be discussed in the following order: the first chapter summarizes the electronic bill of lading and related concepts. This paper first introduces the concept of the traditional bill of lading and its function in the international trade, then introduces the particularity of the electronic bill of lading which is different from the traditional bill of lading, and expounds the difference between the electronic bill of lading and the traditional bill of lading in the circulation mode. Because of these advantages, it is possible to replace the traditional bill of lading with electronic bill of lading. Then discusses the development trend of electronic bill of lading and related legislative issues. The second chapter mainly discusses the legal basis of electronic bill of lading circulation model. Firstly, this paper summarizes the circulation of bill of lading, and then explains that the principle of functional equivalence must be established if the electronic bill of lading wants to circulate smoothly, and the principle should be confirmed by legislation. Only in this way can the electronic bill of lading lay the legal foundation for the flow of the bill of lading like the traditional bill of lading. The third chapter mainly discusses the specific legal system of electronic bill of lading circulation mode. Firstly, it shows the basis of electronic bill of lading in practice, based on the contract between the parties, based on the legislation of electronic bill of lading. Then, the circulation mode in the practice of electronic bill of lading is analyzed in detail. This paper introduces three main modes, that is, SeaDocs mode, CMI mode and Bolero mode. The issuance, transfer and delivery of bills of lading are described in detail. The advantages and disadvantages of each mode are briefly introduced. Finally, the circulation mode in practice is considered. The fourth chapter mainly analyzes the specific legal system that the electronic bill of lading circulation mode needs, elaborated how to carry on the electronic bill of lading circulation pattern legal construction. This paper puts forward some legislative suggestions on the circulation of electronic bill of lading, and points out that the developing trend of the mode of circulation of electronic bill of lading is to establish a unified circulation mode of electronic bill of lading according to mandatory international conventions.
