跨國公司社會(huì)責(zé)任的國際法律規(guī)制

【摘要】:自從公司經(jīng)營模式誕生,幾個(gè)世紀(jì)以來,人們對(duì)于公司運(yùn)營過程之中的道德責(zé)任的探討就從未停止過。特別是工業(yè)革命后,公司憑借著對(duì)資金、人力、資源的大規(guī)模集聚,在推動(dòng)科技進(jìn)步、促使經(jīng)濟(jì)發(fā)展、增加就業(yè)等方面做出了極其重要的貢獻(xiàn);但另一方面,由于公司對(duì)于利潤無限度的過分追求,又導(dǎo)致了公司不惜“越界”,無視勞動(dòng)者的合法權(quán)益,肆意開采自然資源,用以換取自身利益的最大化。 隨著生產(chǎn)的專業(yè)化、社會(huì)化、乃至全球化,人類社會(huì)的經(jīng)濟(jì)關(guān)系也發(fā)生了翻天覆地的變化,而這其中最典型的莫過于跨國公司的出現(xiàn)。跨國公司迅速在全球擴(kuò)張,受其影響,國際經(jīng)濟(jì)關(guān)系,包括國際貿(mào)易、國際金融等發(fā)生了極大的變化,因此跨國公司逐漸引起了人們的普遍關(guān)注。如同其他公司一樣,既然在社會(huì)中經(jīng)營存在,那么跨國公司就應(yīng)當(dāng)承擔(dān)起應(yīng)有的社會(huì)責(zé)任。 本文以對(duì)跨國公司社會(huì)責(zé)任的國際法律規(guī)制為主題,對(duì)相關(guān)問題進(jìn)行了分析探討,除文章序言以外具體內(nèi)容分為以下幾部分: 第一部分概括介紹了跨國公司社會(huì)責(zé)任的相關(guān)問題,包括公司社會(huì)責(zé)任的產(chǎn)生和發(fā)展概況,跨國公司的概念及特征,在此基礎(chǔ)之上總結(jié)了跨國公司社會(huì)責(zé)任的特征,得出結(jié)論,跨國公司社會(huì)責(zé)任除了具備一般公司社會(huì)責(zé)任的特征之外,還具有自身獨(dú)特的屬性。 第二部分圍繞跨國公司社會(huì)責(zé)任的核心內(nèi)容展開,對(duì)于目前國際上討論最集中的四個(gè)問題,即跨國公司的勞工保護(hù)責(zé)任、跨國公司的人權(quán)保護(hù)責(zé)任、跨國公司的環(huán)境保護(hù)責(zé)任、以及跨國公司的反腐敗責(zé)任,分別進(jìn)行了分析和論述。 第三部分和第四部分是文章的核心內(nèi)容,其中第三部分從整體上分析了跨國公司社會(huì)責(zé)任法律規(guī)制的基礎(chǔ)之上,著重對(duì)現(xiàn)行的跨國公司國際法律規(guī)制進(jìn)行了分析,除了從跨國公司社會(huì)責(zé)任國際法律規(guī)制整體架構(gòu)的角度進(jìn)行論述之外,還著重對(duì)于ISO26000進(jìn)行了分析。第四部分則是對(duì)未來跨國公司社會(huì)責(zé)任國際法規(guī)制的前景進(jìn)行評(píng)析,對(duì)于國際“硬法”在規(guī)制跨國公司社會(huì)責(zé)任方面未來所能發(fā)揮的作用給出肯定的答案,之后重點(diǎn)論證了國際“軟法”在規(guī)制跨國公司社會(huì)責(zé)任方面所具有的發(fā)展空間。 最后在文章結(jié)尾中,給出本文的結(jié)論:通過法律的途徑規(guī)制跨國公司社會(huì)責(zé)任,無論是東道國國內(nèi)法、跨國公司母國的國內(nèi)法、以及跨國公司自我約束機(jī)制都具有著很大的限制性,與其相比較,對(duì)跨國公司社會(huì)責(zé)任選擇從實(shí)施國際法規(guī)制的角度入手,無論是從理論還是從實(shí)際的角度目前來看都是較為恰當(dāng)合理的。因此無論是現(xiàn)在還是未來我們都要繼續(xù)努力推動(dòng)相關(guān)國際條約等“國際硬法”的不斷發(fā)展,同時(shí)我們要在規(guī)制跨國公司社會(huì)責(zé)任的“國際軟法”領(lǐng)域?qū)で笸黄?探索新的能夠有效解決問題的方法。
[Abstract]:Since the birth of the corporate business model, the discussion of moral responsibility in the process of corporate operation has never stopped for centuries. Especially after the industrial revolution, companies have made extremely important contributions to promoting scientific and technological progress, promoting economic development, increasing employment, and so on, depending on the large-scale agglomeration of funds, human resources and resources; on the other hand, Because of the excessive pursuit of unlimited profits, the company does not hesitate to "cross the border", ignore the legitimate rights and interests of workers, exploit natural resources wantonly, and use it to maximize its own interests. With the specialization of production, socialization and even globalization, the economic relationship of human society has also undergone earth-shaking changes, and the most typical of which is the emergence of multinational corporations. The transnational corporation expands rapidly in the world, by its influence, the international economic relations, including the international trade, the international finance and so on has taken place the great change, therefore the transnational corporation has gradually aroused people's widespread concern. Like other companies, transnational corporations should assume their due social responsibility since they exist in society. Based on the international legal regulation of transnational corporations' social responsibility, this paper analyzes and discusses the related issues. Besides the preface of the article, the content is divided into the following parts: the first part introduces the related problems of transnational corporations' social responsibility, including the general situation of the emergence and development of corporate social responsibility, the concept and characteristics of transnational corporations. On this basis, this paper summarizes the characteristics of MNCs' social responsibility, and concludes that MNCs' social responsibility not only has the characteristics of general corporate social responsibility, but also has its own unique attributes. The second part focuses on the core content of the social responsibility of transnational corporations. It focuses on the four issues that have been discussed in the world at present, namely, the duty of labor protection of transnational corporations, the responsibility of human rights protection of transnational corporations, and the responsibility of environmental protection of transnational corporations. As well as the transnational corporation's anti-corruption responsibility, has carried on the analysis and the elaboration separately. The third part and the fourth part are the core contents of the article. The third part analyzes the legal regulation of transnational corporations' social responsibility on the basis of the whole, and focuses on the analysis of the current international legal regulation of transnational corporations. In addition to discussing the whole framework of international legal regulation of transnational corporations' social responsibility, ISO26000 is analyzed emphatically. The fourth part is to analyze the prospect of international regulation of transnational corporations' social responsibility in the future, and give a definite answer to the future role of international "hard law" in regulating transnational corporations' social responsibility. After that, it demonstrates the development space of international soft law in regulating the social responsibility of multinational corporations. Finally, in the end of the article, the conclusion of this paper is given: regulating the social responsibility of transnational corporations by means of law, whether it is the domestic law of the host country or the domestic law of the home country of the multinational corporation. Compared with the self-restraint mechanism of transnational corporations, the choice of transnational corporations' social responsibility starts from the angle of implementing international law. Whether from the theory or from the practical point of view is more appropriate and reasonable. Therefore, we should continue to promote the continuous development of "international hard law", such as relevant international treaties, both now and in the future. At the same time, we will seek a breakthrough in the field of "international soft law", which regulates the social responsibility of transnational corporations. Explore new ways to solve problems effectively.
