【摘要】：隨著我國綜合國力的不斷提高,中國企業(yè)對外投資總量不斷增長。但是,在中國企業(yè)對外投資過程中,無論是中國政府還是中國企業(yè)均尚未完全習(xí)慣于國際商業(yè)領(lǐng)域中公平、公正的競爭游戲規(guī)則,從而導(dǎo)致了中國企業(yè)將國內(nèi)的一些不良的商業(yè)潛規(guī)則也帶到了對外投資經(jīng)貿(mào)活動中,在損害了企業(yè)自身形象的同時,也損害了中國對外投資的整體形象。因此,筆者認(rèn)為,如何解決中國企業(yè)海外商業(yè)賄賂治理問題,已經(jīng)成為一個不容忽視的課題。在本文第一章中,筆者先從介紹中國企業(yè)蓬勃發(fā)展的海外投資狀況入手,肯定了中國企業(yè)“走出去”是大勢所趨。繼而,再針對國際社會對中國企業(yè)海外投資整體印象不佳的現(xiàn)狀,分析了相關(guān)的原因；在第二章中,筆者從跨國公司母國、東道國以及國際社會多個角度,概述了目前中國企業(yè)在海外投資經(jīng)營過程中,面臨著中國刑法修正案(八)、美國《反海外賄賂法》以及《聯(lián)合國反腐敗公約》等諸多國內(nèi)、國外法律法規(guī)以及國際公約的規(guī)制。因此,中國企業(yè)海外投資必須合法經(jīng)營,不然會受到相關(guān)法律的嚴(yán)厲懲處：在第三章中,筆者從跨國公司維護(hù)自身可持續(xù)發(fā)展利益角度,論述了企業(yè)治理海外商業(yè)賄賂的必要性,以及企業(yè)落實社會責(zé)任的意義。同時,從維護(hù)中國企業(yè)自身形象以及中國國家形象的角度出發(fā),指出了中國須重視“中國企業(yè)海外商業(yè)賄賂治理”這一課題的重要性；在第四章中,筆者分別從中國政府層面和中國企業(yè)層面,就如何在當(dāng)前反海外商業(yè)賄賂取得一定成績的基礎(chǔ)上,再接再厲,進(jìn)一步開展海外商業(yè)賄賂治理工作提出了相關(guān)的可行性建議。
[Abstract]:With the continuous improvement of China's comprehensive national strength, the total amount of foreign investment of Chinese enterprises is constantly increasing. However, in the process of foreign investment by Chinese enterprises, neither the Chinese government nor the Chinese enterprises have become fully accustomed to the fair and fair rules of the game of competition in the field of international business. As a result, Chinese enterprises bring some bad business rules to the foreign investment activities, which not only damage the image of the enterprises themselves, but also damage the overall image of China's foreign investment. Therefore, the author believes that how to solve the problem of overseas commercial bribery of Chinese enterprises has become a problem that can not be ignored. In the first chapter of this paper, the author first introduces the booming overseas investment of Chinese enterprises, and affirms that the "going out" of Chinese enterprises is the trend of the times. Then, in view of the current situation of the international community's poor overall impression of Chinese enterprises' overseas investment, the author analyzes the relevant reasons. In the second chapter, the author analyzes the reasons from the home country, host country and international community of multinational corporations. In the process of overseas investment and operation, Chinese enterprises are faced with many domestic and foreign laws and regulations, such as the revision of Chinese Criminal Law (Baxi), the United States Anti-overseas bribery Law and the United Nations Convention against Corruption, and the regulation of international conventions. Therefore, the overseas investment of Chinese enterprises must be legally operated, otherwise they will be severely punished by relevant laws. In Chapter 3, the author maintains the interests of multinational corporations in the interests of sustainable development. This paper discusses the necessity of corporate governance of overseas commercial bribery and the significance of corporate social responsibility. At the same time, from the point of view of maintaining the image of Chinese enterprises and China's national image, this paper points out that China should pay attention to the importance of "the governance of overseas commercial bribery of Chinese enterprises". From the level of Chinese government and Chinese enterprises, the author puts forward some feasible suggestions on how to further develop the governance of overseas commercial bribery on the basis of the achievements made in the current anti-overseas commercial bribery.
