【摘要】:經(jīng)濟(jì)生活的日益國(guó)際化要求打破阻礙國(guó)際商事交往順利進(jìn)行的法律障礙,《聯(lián)合國(guó)國(guó)際貨物銷售合同公約》(簡(jiǎn)稱CISG或《公約》)在這樣的形勢(shì)下應(yīng)運(yùn)而生,它是聯(lián)合國(guó)國(guó)際貿(mào)易法委員會(huì)主持起草的一項(xiàng)影響廣泛的國(guó)際貨物買賣合同方面的實(shí)體法公約。但大多數(shù)國(guó)家均對(duì)CISG第1條第1款(b)項(xiàng)提出了保留,中國(guó)也認(rèn)為CISG第1條第1款(b)項(xiàng)的實(shí)施會(huì)增加適用的不確定性以及制約了國(guó)內(nèi)法律制度的適用,也對(duì)此款提出保留。鑒于目前《公約》在法院和仲裁庭的廣泛應(yīng)用,筆者以法院和仲裁庭的實(shí)踐為基礎(chǔ)來(lái)研究CISG第1條第1款(b)項(xiàng)的具體應(yīng)用以及中國(guó)撤銷此項(xiàng)保留的必要性和可行性。 本文分為四部分。第一部分主要是對(duì)CISG第1條第1款(b)項(xiàng)的內(nèi)容及其具體應(yīng)用進(jìn)行分析。第二部分是對(duì)《公約》第95條的出臺(tái)背景進(jìn)行介紹,著重探討各國(guó)對(duì)CISG第1條第1款(b)項(xiàng)提出保留后《公約》在適用上的復(fù)雜局面及保留所帶來(lái)的利弊后果。第三部分以中國(guó)為視角,從中國(guó)法院與仲裁庭的實(shí)踐出發(fā),解讀中國(guó)提出保留后《公約》在中國(guó)的具體適用,進(jìn)而評(píng)析該項(xiàng)保留對(duì)當(dāng)事人、法院、及仲裁機(jī)構(gòu)的影響。第四部分主要對(duì)中國(guó)取消該項(xiàng)保留的可行性和必要性以及撤銷保留的后續(xù)問(wèn)題進(jìn)行總結(jié)論述。
[Abstract]:The increasing internationalization of economic life requires to break down the legal obstacles that hinder the smooth international commercial exchanges. Under such circumstances, the United Nations Convention on contracts for the International Sale of goods (CISG or the Convention) came into being. It is a substantive law convention on contracts for the international sale of goods, drafted under the auspices of the United Nations Commission on International Trade Law (UNCITRAL). However, most countries have made reservations to Article 1, paragraph 1, of CISG, and China also has reservations that the implementation of Article 1, paragraph 1, of CISG will increase the uncertainty of application and restrict the application of domestic legal system. In view of the wide application of the Convention in the courts and arbitral tribunals at present, the author, based on the practice of the courts and arbitral tribunals, studies the specific application of Article 1, paragraph 1 (b) of CISG and the necessity and feasibility of withdrawing this reservation in China. This paper is divided into four parts. The first part mainly analyzes the content and application of item 1 (1) of CISG. The second part is an introduction to the background of Article 95 of the Convention, focusing on the complicated situation of the application of the Convention after the reservation of Article 1 (1) (b) of the CISG and the advantages and disadvantages of the reservation. In the third part, from the perspective of China, from the practice of Chinese courts and arbitral tribunals, the author interprets the application of the Convention in China after China has made a reservation, and then comments on the impact of the reservation on the parties, courts and arbitration institutions. The fourth part summarizes the feasibility and necessity of the cancellation of the reservation by China.
