【摘要】：隨著政治環(huán)境的趨穩(wěn)趨好、經(jīng)濟(jì)的逐步發(fā)展,非洲正成為新的投資熱土:從東道國(guó)方面來(lái)說,非洲各國(guó)注重吸引外資,出臺(tái)眾多外資優(yōu)惠政策,如放寬投資領(lǐng)域、簡(jiǎn)化投資審批手續(xù)等;從外國(guó)投資者方面來(lái)說,他們也注意到非洲的投資環(huán)境的改善,紛紛表示出極大的興趣并尋求更廣泛地進(jìn)入這個(gè)待開發(fā)大市場(chǎng)的機(jī)會(huì)。中國(guó)與非洲各國(guó)的經(jīng)貿(mào)合作也在不斷擴(kuò)大,尤其自2006年中非合作論壇北京峰會(huì)以來(lái),中國(guó)投資者對(duì)非洲的投資增長(zhǎng)較快,且領(lǐng)域不斷拓寬。 的確,投資非洲的前景十分樂觀。但我們還應(yīng)謹(jǐn)慎地看到投資非洲存在著諸多變數(shù),例如非洲國(guó)家不穩(wěn)定的投資立法、立法與執(zhí)法之間存在的巨大落差,以及各式各樣的政治風(fēng)險(xiǎn)等。此外,隨著投資的增多和領(lǐng)域的拓展,投資各方的利益紛爭(zhēng)也必然會(huì)增加。這種情況下,如何有效地解決外國(guó)投資者和非洲東道國(guó)的投資爭(zhēng)議,從而為非洲投資的良性發(fā)展給予制度上的保障,理應(yīng)順其自然地進(jìn)入我們的視野。 目前國(guó)內(nèi)外就國(guó)際投資爭(zhēng)議解決機(jī)制的研究比較活躍,成果也比較豐富,但是這一課題放到非洲背景下,其研究還非常薄弱——我們的目光多投向了歐盟、北美、東亞等經(jīng)濟(jì)發(fā)展較為成熟的地區(qū),非洲卻做了我們視覺上的盲點(diǎn)�？上驳氖�,這一局面近幾年有所改變:湘潭大學(xué)非洲法律與社會(huì)研究中心——中國(guó)目前第一個(gè)也是唯一一個(gè)非洲法研究機(jī)構(gòu),承擔(dān)了非洲法主要的研究工作,該機(jī)構(gòu)在很大程度上推動(dòng)了非洲法的研究且取得了不小的成績(jī)。但從總體上看,非洲法研究在我國(guó)仍然是一個(gè)有待開發(fā)的領(lǐng)域,我們所做的還遠(yuǎn)遠(yuǎn)不夠。 本文以投資非洲爭(zhēng)議解決機(jī)制為研究?jī)?nèi)容,將全文分為四個(gè)部分。 第一部分:投資非洲的爭(zhēng)議可能性分析。該部分結(jié)合非洲一體化及次區(qū)域一體化的背景,通過對(duì)非洲投資環(huán)境的分析以指出投資非洲存在的主要風(fēng)險(xiǎn)。 第二部分:現(xiàn)有的投資爭(zhēng)議解決途徑。該部分對(duì)現(xiàn)有的投資者-東道國(guó)投資爭(zhēng)議的主要解決途徑進(jìn)行論述,進(jìn)而分析這幾種爭(zhēng)議解決途徑面對(duì)非洲東道國(guó)時(shí)的可行性。 第三部分:投資者-非洲東道國(guó)爭(zhēng)議解決的國(guó)際仲裁途徑。該部分首先以ICSID仲裁為研究對(duì)象,并同時(shí)指出對(duì)其面臨的某些質(zhì)疑;接著將研究重點(diǎn)放在了非洲商法協(xié)調(diào)組織上,介紹了該組織的司法與仲裁共同法院作為常設(shè)性仲裁機(jī)構(gòu)的一些創(chuàng)新;最后將該組織的仲裁機(jī)制與ICSID仲裁機(jī)制進(jìn)行一番比較分析。 第四部分:中國(guó)企業(yè)投資非洲爭(zhēng)議解決機(jī)制完善。經(jīng)過了上述幾個(gè)環(huán)節(jié)的論述,本文在此基礎(chǔ)上,提出中國(guó)投資非洲爭(zhēng)議解決的立場(chǎng)與原則,并繼而從投資爭(zhēng)議解決途徑的選擇、中國(guó)相關(guān)的雙邊投資條約的完善角度,提出爭(zhēng)議解決機(jī)制的完善建議。
[Abstract]:With the stabilization of the political environment and the gradual development of the economy, Africa is becoming a new investment hotbed: from the host country's point of view, African countries pay attention to attracting foreign capital and introduce numerous preferential policies for foreign investment, such as relaxing the investment field. Foreign investors, for their part, have also taken note of the improved investment climate in Africa, showing great interest and seeking wider access to the big market to be developed. Economic and trade cooperation between China and African countries is also expanding, especially since the 2006 China-Africa Cooperation Forum summit in Beijing, where Chinese investors' investment in Africa has been growing faster and wider. Indeed, the outlook for investing in Africa is optimistic. But we should also be careful to see that there are many variables in investing in Africa, such as the unstable investment legislation of African countries, the huge gap between legislation and enforcement, and the various political risks. In addition, with the increase of investment and expansion of the field, the interests of investment parties will inevitably increase. Under such circumstances, how to effectively resolve the investment disputes between foreign investors and African host countries, and thus provide institutional protection for the benign development of African investment, should enter our field of vision naturally. At present, the research on international investment dispute resolution mechanism at home and abroad is relatively active, and the results are relatively rich. However, the research on this subject is still very weak in the context of Africa. Most of our eyes have been on the European Union, North America, East Asia and other more mature areas of economic development, Africa has done our visual blind spot. Fortunately, this situation has changed in recent years: the Centre for African Law and Social Studies of Xiangtan University, the first and only African law research institution in China, has undertaken the main research work on African law. To a large extent, the agency has promoted the study of African law and has achieved a great deal. But on the whole, the study of African law is still a field to be developed in our country, and what we have done is far from enough. In this paper, the investment dispute settlement mechanism in Africa as the research content, the full text is divided into four parts. Part one: an Analysis of the possibility of Investment in Africa. Based on the background of African integration and subregional integration, this part points out the main risks of investment in Africa through the analysis of the investment environment in Africa. The second part: the existing investment dispute settlement approach. This part discusses the main ways to resolve the investor-host country investment dispute, and then analyzes the feasibility of these dispute settlement approaches when facing the African host country. The third part: the international arbitration approach of investor-host country dispute settlement in Africa. This part first focuses on ICSID arbitration, and at the same time points out some of the challenges it faces, and then focuses on the African Organization for the Harmonization of Commercial Law. This paper introduces some innovations of the common court of judicature and arbitration of the organization as a permanent arbitration institution, and finally makes a comparative analysis of the arbitration mechanism of the organization and the arbitration mechanism of ICSID. The fourth part: the perfection of Chinese enterprises' investment dispute settlement mechanism in Africa. On the basis of the above discussion, this paper puts forward the position and principle of China's investment dispute settlement in Africa, and then from the perspective of the choice of investment dispute settlement approach and the perfection of China's relevant bilateral investment treaties. Put forward the suggestion of perfecting the dispute settlement mechanism.
