【摘要】：《聯(lián)合國(guó)國(guó)際貨物銷售合同公約》(以下簡(jiǎn)稱《公約》)對(duì)國(guó)際貨物買賣中的賣方知識(shí)產(chǎn)權(quán)擔(dān)保責(zé)任制度做了專門規(guī)定。本文將該《公約》中的規(guī)定作為研究對(duì)象,在對(duì)《公約》相關(guān)規(guī)定進(jìn)行分析和研究的基礎(chǔ)之上,結(jié)合我國(guó)的具體實(shí)踐,提出一些有利于我國(guó)外貿(mào)企業(yè)的意見(jiàn)。 第一章對(duì)賣方知識(shí)產(chǎn)權(quán)擔(dān)保責(zé)任制度進(jìn)行了概述。在此部分,首先探討了賣方知識(shí)產(chǎn)權(quán)擔(dān)保責(zé)任制度的基本理論,然后分析了《公約》第42條的歷史沿革,以從源頭了解立法背景和立法目的。 第二章對(duì)《公約》中賣方知識(shí)產(chǎn)權(quán)擔(dān)保責(zé)任制度的內(nèi)容進(jìn)行了分析。而后通過(guò)案例,對(duì)買方要求賣方承擔(dān)知識(shí)產(chǎn)權(quán)擔(dān)保責(zé)任的條件進(jìn)行了歸納,并分析了買方可以采取的各種措施。 第三章對(duì)《公約》中賣方知識(shí)產(chǎn)權(quán)擔(dān)保責(zé)任制度的適用進(jìn)行了研究。首先研究了在平行進(jìn)口問(wèn)題上的適用,然后分析了《公約》中賣方知識(shí)產(chǎn)權(quán)擔(dān)保責(zé)任制度對(duì)我國(guó)在這個(gè)問(wèn)題上的啟示。
[Abstract]:The United Nations Convention on contracts for the International Sale of goods (hereinafter referred to as "the Convention") makes a special provision on the seller's intellectual property rights guarantee liability system in the international sale of goods. In this paper, the provisions of the Convention are taken as the research object, on the basis of the analysis and study of the relevant provisions of the Convention, combined with the concrete practice of our country, some suggestions are put forward in favor of the foreign trade enterprises of our country. The first chapter summarizes the seller's intellectual property rights guarantee liability system. In this part, the author first discusses the basic theory of the seller's intellectual property guarantee liability system, and then analyzes the historical evolution of Article 42 of the Convention, in order to understand the legislative background and the legislative purpose from the source. The second chapter analyzes the content of seller's intellectual property guarantee liability system in the Convention. Then, through the case, the author sums up the conditions under which the buyer demands the seller to undertake the security responsibility of intellectual property, and analyzes the various measures that the buyer can take. The third chapter studies the application of seller's intellectual property guarantee liability system in the Convention. This paper first studies the application of parallel import, and then analyzes the implications of the seller's intellectual property guarantee liability system on this issue in China.
