【摘要】:海外投資保險(xiǎn)制度以國家為后盾來減少海外投資者的風(fēng)險(xiǎn),使私人海外投資更有保證,該制度受到資本輸出國以及海外投資者的青睞。我國作為較大的資本輸出國,建立屬于自己的海外投資保險(xiǎn)制度已十分緊要。本文分析了我國建立健全海外投資保險(xiǎn)制度的必要性,介紹了最具特點(diǎn)的海外投資保險(xiǎn)制度,即美國、德國和日本三個(gè)國家的海外投資保險(xiǎn)制度,分析了其對(duì)我國該制度建立的參考與借鑒意義。論文重點(diǎn)對(duì)構(gòu)建我國的海外投資保險(xiǎn)制度提出自己的建議與設(shè)想。 本文分為四個(gè)部分對(duì)這一主題進(jìn)行論述: 第一部分是對(duì)海外投資保險(xiǎn)制度的概述。本部分闡釋了海外投資保險(xiǎn)制度的含義、由來與歷史發(fā)展。海外投資保險(xiǎn)制度產(chǎn)生于美國,“二戰(zhàn)”后美國為了實(shí)行援外計(jì)劃,成立海外私人投資公司,對(duì)海外投資者所面臨的政治風(fēng)險(xiǎn)進(jìn)行承保。該制度逐漸被其他發(fā)達(dá)國家借鑒和效仿,隨后一些發(fā)展中國家也制定了相應(yīng)的制度。 第二部分對(duì)我國海外投資保險(xiǎn)制度的現(xiàn)狀進(jìn)行分析。我國的海外投資保險(xiǎn)制度從國內(nèi)立法角度看并不完善,一些部門規(guī)章或政策性規(guī)定效力較低。從國際層面來看,我國已與許多國家簽訂了雙邊投資保護(hù)協(xié)定,協(xié)定中大都包含海外投資保險(xiǎn)方面的規(guī)定,例如對(duì)代位權(quán)的承認(rèn)。但是由于缺乏相應(yīng)的國內(nèi)立法作為基礎(chǔ),這些協(xié)定中對(duì)于海外投資保險(xiǎn)方面的規(guī)定往往形同虛設(shè)。我國雖然加入了《多邊投資擔(dān)保機(jī)構(gòu)公約》,但是該公約對(duì)海外投資保險(xiǎn)的一些限制,使得我國的海外投資并沒有得到很大意義上的保護(hù)。近年來我國海外投資事業(yè)以較快的速度發(fā)展,而投資者面臨的或潛在的巨大的政治風(fēng)險(xiǎn)卻得不到化解,非商業(yè)性的投資利益得不到保障。以上這些都表明,我國急需建立健全自己的海外投資保險(xiǎn)制度。 第三部分闡述了具有典型意義和特點(diǎn)的美國、德國和日本三個(gè)國家的海外投資保險(xiǎn)制度,分析了其對(duì)構(gòu)建我國海外投資保險(xiǎn)制度可吸取的經(jīng)驗(yàn)。論文分別闡述了這三個(gè)國家海外投資保險(xiǎn)法律制度的主要內(nèi)容和結(jié)構(gòu)模式,特別是其對(duì)保險(xiǎn)人、投保人、承保范圍、承保條件以及保險(xiǎn)費(fèi)用、期限和賠償金的相關(guān)規(guī)定。就法律關(guān)系主體來說,美國和日本都采用“兩主體說”,德國則采用“三主體說”;對(duì)于承保范圍,三個(gè)國家都將外匯險(xiǎn)、征收險(xiǎn)和戰(zhàn)亂險(xiǎn)作為主要的險(xiǎn)別,另外還各自規(guī)定了一些特別的險(xiǎn)別。三個(gè)國家對(duì)合格的投資都從投資、投資者和東道國三個(gè)方面進(jìn)行了規(guī)定。 第四部分是筆者對(duì)構(gòu)建我國的海外投資保險(xiǎn)制度的設(shè)想。本文認(rèn)為,就海外投資保險(xiǎn)關(guān)系的主體來說,我國在保險(xiǎn)機(jī)構(gòu)的設(shè)置上可以借鑒德國的模式,采取“分離制”,,適用“三主體說”;對(duì)于承保險(xiǎn)別,我國在規(guī)定外匯險(xiǎn)、征收險(xiǎn)和戰(zhàn)亂險(xiǎn)的基礎(chǔ)上,還可以納入一些特別的險(xiǎn)種,例如政府違約險(xiǎn)、遲延支付險(xiǎn)等;對(duì)于合格投資的判定,我國可以借鑒三個(gè)國家所對(duì)該制度具體規(guī)定,分別設(shè)置不同的標(biāo)準(zhǔn);對(duì)于保險(xiǎn)費(fèi)、保險(xiǎn)期間和保險(xiǎn)金,我國應(yīng)該根據(jù)自己的實(shí)際情況進(jìn)行專業(yè)性的科學(xué)的設(shè)置。
[Abstract]:The overseas investment insurance system is backed by the country to reduce the risk of overseas investors and make private overseas investment more guaranteed. The system is favored by the capital exporting countries and overseas investors. As a larger capital exporter, China is very important to establish its own overseas investment insurance system. The necessity of the overseas investment insurance system is to introduce the most characteristic overseas investment insurance system, namely, the overseas investment insurance system of three countries in the United States, Germany and Japan, and analyze its reference and reference significance to the establishment of the system in our country. The paper puts forward some suggestions and ideas for the construction of the overseas investment insurance system in China.
This article is divided into four parts:
The first part is an overview of the overseas investment insurance system. This part explains the meaning of the overseas investment insurance system, the origin and the historical development. The overseas investment insurance system came into being in the United States. After the "World War II", the United States established the Overseas Private Investment Company to undercover the political risks faced by the overseas investors. The system was gradually learned and emulated by other developed countries. Subsequently, some developing countries also formulated corresponding systems.
The second part analyses the current situation of China's overseas investment insurance system. The overseas investment insurance system of our country is not perfect from the domestic legislative point of view, and some department rules or policy stipulations are less effective. From the international level, China has signed bilateral investment protection agreements with many countries, most of which include overseas investment. The provisions of insurance, such as the recognition of the right of subrogation, but the lack of relevant domestic legislation as a basis for the provision of overseas investment insurance is often the same. Although China has joined the Convention on the Multilateral Investment Guarantee Agency, some restrictions on overseas investment insurance have led to China's sea. Foreign investment has not been greatly protected. In recent years, China's overseas investment has developed rapidly, but the huge political risks that investors face or potential are not resolved, and the non commercial investment benefits can not be guaranteed. All these show that our country is in urgent need to establish and improve its own overseas investment insurance system. Degree.
The third part expounds the overseas investment insurance system of the United States, Germany and Japan in three countries with typical significance and characteristics, and analyzes its experience in the construction of the overseas investment insurance system in China. The paper expounds the main contents and structural models of the legal system of overseas investment insurance in these three countries, in particular its protection to the insurance system. The insurer, the insured, the scope of insurance, the conditions of underwriting and the insurance costs, the time limit and the relevant provisions of the compensation. For the subject of legal relations, the United States and Japan adopt the "two subject", and the German "three subject"; for the scope of the insurance, three countries will take foreign exchange insurance, expropriation risk and war risk as the main risk, and the other three countries are the main risks. Some special risks are also stipulated. Three countries invest in qualified investment from investors, investors and host countries in three aspects.
The fourth part is the author's assumption of the construction of the overseas investment insurance system in our country. This article holds that, in terms of the main body of the overseas investment insurance relationship, our country can draw on the German model, adopt the "separation system" and apply the "three subject" in the setting of the insurance agency, and for the underwriting insurance, our country stipulates foreign exchange insurance, expropriation of risk and war. On the basis of the risk, we can also include some special types of insurance, such as the government default risk, delay payment and so on. For the determination of qualified investment, China can draw on the specific regulations of the three countries and set up the different standards respectively.
