【摘要】：《聯(lián)合國(guó)國(guó)際貨物銷售合同公約》(以下簡(jiǎn)稱CISG或《公約》)作為目前世界范圍內(nèi)的一部統(tǒng)一合同法,在規(guī)范國(guó)際民商事合同關(guān)系、鼓勵(lì)交易方面發(fā)揮了重要的作用,但在期待利益損失的賠償上存有規(guī)則的漏洞。漏洞的填補(bǔ)需要借助對(duì)《國(guó)際商事合同通則》和《歐洲合同法原則》的文本解釋,從中獲取有意的借鑒。結(jié)合實(shí)例判斷可知,后兩者都明文提到了期待利益損失。國(guó)際貿(mào)易案件中法院或仲裁機(jī)構(gòu)對(duì)期待利益作出判決或裁決一般是會(huì)為當(dāng)事人所接受的。這些條款中歸納的具體原則和規(guī)則能夠?yàn)樘钛a(bǔ)《公約》的漏洞提供有力的支持。
[Abstract]:The United Nations Convention on contracts for the International Sale of goods (hereinafter referred to as CISG or the Convention), as a unified contract law in the world at present, has played an important role in regulating international civil and commercial contract relations and encouraging transactions. But there are loopholes in the rules in anticipation of compensation for loss of interest. To fill the loophole, we need to draw on the text interpretation of the principles of International Commercial contracts and the principles of European contract Law. Combined with a case study, we can see that both of them explicitly mention the loss of expected benefits. In international trade cases, courts or arbitration institutions generally accept decisions or rulings on expected benefits. The specific principles and rules summarized in these articles can provide strong support for filling the gaps in the Convention.
