【摘要】：歐盟統(tǒng)一公司立法創(chuàng)設(shè)了超國(guó)家層面的商事主體——?dú)W洲公司和歐洲私人公司;資本制度更自由,公司治理更靈活,促進(jìn)了各成員國(guó)公司法制度的趨同。統(tǒng)一公司立法也受制于各國(guó)的法律傳統(tǒng)、利益集團(tuán)和路徑依賴(lài)等因素。歐盟成員國(guó)包括了大陸法系和英美法系國(guó)家,其公司立法的成果與爭(zhēng)議,反映了兩大法系公司法制度融合與競(jìng)爭(zhēng)的發(fā)展趨勢(shì),值得在我國(guó)《公司法》修改完善中加以借鑒。
[Abstract]:European Union unified company legislation has created the supranational level commercial subject-European company and European private company; the capital system is freer and the corporate governance is more flexible, which promotes the convergence of the company law system of each member country. The uniform company legislation is also restricted by the legal tradition, interest group and path dependence of various countries. European Union member states include civil law system and common law system country, its company legislation achievement and dispute, reflect the development trend of company law system fusion and competition of two major legal systems, it is worth to use for reference in the revision and perfection of our country's Company Law.
