國際金融監(jiān)管規(guī)制下的影子銀行法律問題

【摘要】:2008年的金融危機(jī)爆發(fā)后,影子銀行體系被認(rèn)為是引起危機(jī)的關(guān)鍵原因。對影子銀行體系的監(jiān)管問題研究和制度變革也逐漸成為各國及國際金融機(jī)構(gòu)關(guān)注的焦點(diǎn)所在。雖然中國在此次金融危機(jī)中所受的影響并不如西方國家嚴(yán)重,但中國金融業(yè)市場同樣存在影子銀行體系風(fēng)險(xiǎn)。并且隨著中國影子銀行體系的規(guī)模迅速擴(kuò)張,其不尋常的發(fā)展已經(jīng)開始威脅到中國的金融穩(wěn)定,因此加強(qiáng)對影子銀行體系的監(jiān)管已經(jīng)對于中國來說同樣刻不容緩。本文從宏觀和微觀兩個層面著手,一方面從微觀層面分析金融穩(wěn)定理事會、巴塞爾委員會和國際證監(jiān)會組織這三大主要國際金融組織在其各自專業(yè)領(lǐng)域內(nèi)的監(jiān)管建議,以及美歐發(fā)達(dá)經(jīng)濟(jì)體內(nèi)影子銀行體系的特點(diǎn)和相應(yīng)的監(jiān)管制度,探尋值得中國借鑒的對具體影子產(chǎn)品或機(jī)構(gòu)的監(jiān)管措施;另一方面從宏觀層面結(jié)合中國影子銀行體系的產(chǎn)生根源和特點(diǎn),探討建立和健全中國影子銀行體系監(jiān)管法律制度中的應(yīng)當(dāng)關(guān)注的幾個法律問題。本文共分四章。首先,鑒于“影子銀行”一詞至今還沒有一個為各國普遍接受的明確定義,論文第一章將介紹目前對于影子銀行的不同定義并明確研究對象的概念和特征,為研究影子銀行體系的法律監(jiān)管問題奠定基礎(chǔ)。此外,該章將在金融理事會2012年監(jiān)測報(bào)告的基礎(chǔ)上分析影子銀行體系的現(xiàn)狀和存在的風(fēng)險(xiǎn)。其次,論文第二章將分別闡述三大國際金融組織在各自專業(yè)領(lǐng)域?qū)τ白鱼y行體系的監(jiān)管建議,探討這些監(jiān)管建議對影子銀行體系涉及的各種實(shí)體或活動監(jiān)管中可能產(chǎn)生的法律問題,從而為在微觀層面為我國商業(yè)銀行、資產(chǎn)證券化業(yè)務(wù)、貨幣市場基金監(jiān)管等影子銀行體系涉及到具體環(huán)節(jié)提供有效經(jīng)驗(yàn)。再次,影子銀行體系監(jiān)管問題始于美國,歐美國家對于影子銀行體系監(jiān)管問題的研究相對比較豐富且已經(jīng)出臺一系列相關(guān)監(jiān)管制度改革法案,而這些監(jiān)管制度的改進(jìn)也在某種程度上再次印證了上述三大國際金融組織的監(jiān)管思路。因此,論文第三章將梳理和介紹美歐國家影子銀行體系的特點(diǎn)和監(jiān)管制度。最后,論文第四章將從總體上分析我國影子銀行體系的發(fā)展特點(diǎn)和監(jiān)管現(xiàn)狀,并針對我國影子銀行體系發(fā)展特點(diǎn)在宏觀層面上提出三大法律監(jiān)管問題,即對影子銀行體系的基本定位、對金融監(jiān)管模式的選擇以及信息披露與透明度原則的重申。
[Abstract]:After the 2008 financial crisis, the shadow banking system was considered a key cause of the crisis.The research and reform of shadow banking system has gradually become the focus of attention of countries and international financial institutions.Although China was not as affected by the financial crisis as the West, there is also a shadow banking system risk in China's financial sector.And with the rapid expansion of China's shadow banking system, its unusual development has begun to threaten China's financial stability, so strengthening supervision of the shadow banking system has become equally urgent for China.On the one hand, this paper analyzes the regulatory recommendations of the Financial Stability Board, the Basel Committee and the International Organization of Securities and Futures Commission in their respective areas of expertise from the macro and micro levels, on the one hand, the financial stability board, the Basel Committee and the International Organization of Securities and Futures Commission, on the other.As well as the characteristics of shadow banking system in the developed economies of the United States and Europe and the corresponding regulatory system to explore the specific shadow products or institutions for China to learn from the regulatory measures;On the other hand, combining the origin and characteristics of China's shadow banking system from the macro level, this paper discusses several legal issues that should be paid attention to in the establishment and improvement of China's shadow banking system supervision legal system.This paper is divided into four chapters.First of all, in view of the fact that the term "shadow banking" has not yet been universally accepted by all countries, the first chapter of the paper will introduce the different definitions of shadow banking and clarify the concepts and characteristics of the subjects studied.It lays a foundation for the study of the legal supervision of shadow banking system.In addition, the chapter will analyze the status and risks of the shadow banking system on the basis of the Financial Council's 2012 monitoring report.Secondly, in the second chapter of the paper, the three international financial organizations' suggestions on the supervision of the shadow banking system in their respective professional fields will be elaborated respectively.To explore the legal issues that may arise in the supervision of the various entities or activities involved in the shadow banking system by these regulatory proposals, so as to promote the business of asset securitization at the micro level for the commercial banks of our country.Shadow banking systems, such as money market fund regulation, involve providing effective experience in specific areas.Thirdly, the supervision of the shadow banking system began in the United States. The research on the supervision of the shadow banking system in Europe and the United States is relatively rich and has issued a series of relevant regulatory system reform bills.To some extent, the improvement of these regulatory systems has confirmed the regulatory thinking of the three international financial organizations.Therefore, the third chapter will comb and introduce the characteristics and regulatory system of shadow banking system in America and Europe.Finally, the fourth chapter will analyze the characteristics of the development and supervision of the shadow banking system in China in general, and put forward three major legal supervision issues on the macro level in view of the characteristics of the development of the shadow banking system in China.That is, the basic positioning of the shadow banking system, the choice of financial regulatory model and the reaffirmation of the principles of information disclosure and transparency.
