【摘要】：雙邊投資協(xié)定是兩個(gè)國(guó)家就相互之間的投資與保護(hù)問題達(dá)成的協(xié)議。投資待遇是投資協(xié)定中的價(jià)值原點(diǎn)，其中，國(guó)民待遇作為國(guó)際投資法領(lǐng)域重要的原則，是各國(guó)BITs中關(guān)于投資者和投資保護(hù)的核心條款之一。隨著經(jīng)濟(jì)全球化的發(fā)展，國(guó)民待遇原則在國(guó)際投資領(lǐng)域顯得越來越重要，特別是準(zhǔn)入前國(guó)民待遇，成為當(dāng)前的一個(gè)研究熱點(diǎn)。梳理我國(guó)已簽署的諸多雙邊投資協(xié)定，其中48個(gè)雙邊協(xié)定中包含了國(guó)民待遇條款，這些條款內(nèi)容看似相近，然而由于各國(guó)社會(huì)制度、法律制度、談判地位及談判時(shí)間等因素，各國(guó)BITs中國(guó)民待遇的條款并不盡相同。本文以中國(guó)簽署的雙邊投資協(xié)定（BilateralInvestment Treaties,以下簡(jiǎn)稱BITs）中國(guó)民待遇為研究對(duì)象，全文分為引言、正文和結(jié)論。正文分為三個(gè)部分： 第一部分從國(guó)民待遇的基礎(chǔ)理論出發(fā)，簡(jiǎn)要介紹了國(guó)民待遇的概念及特征，對(duì)國(guó)民待遇的適用范圍分別從準(zhǔn)入階段和營(yíng)運(yùn)階段進(jìn)行闡述。 第二部分重點(diǎn)研究我國(guó)簽署的雙邊投資協(xié)定之國(guó)民待遇條款的締約實(shí)踐和主要問題。首先，概括介紹了我國(guó)雙邊投資協(xié)定包含的主要內(nèi)容，，及對(duì)投資者的保護(hù)作用。然后，通過統(tǒng)計(jì)我國(guó)不同時(shí)間階段已簽署雙邊協(xié)定，初步對(duì)不同時(shí)間階段所簽署的含國(guó)民待遇條款的BITs進(jìn)行了分析。接著梳理了上述協(xié)定中國(guó)民待遇條款表述上呈現(xiàn)出的特點(diǎn)，并結(jié)合仲裁案例，重點(diǎn)分析了我國(guó)雙邊投資協(xié)定國(guó)民待遇存在的主要問題。筆者認(rèn)為主要存在四方面的問題，一是我國(guó)已締結(jié)的BITs對(duì)投資和投資者的定義存在著不統(tǒng)一的問題，二是我國(guó)簽署的BITs中，存在最惠國(guó)待遇條款與國(guó)民待遇條款進(jìn)行合并規(guī)定的問題；三是國(guó)民待遇不符措施缺乏系統(tǒng)性的問題；四是BITs國(guó)民待遇與國(guó)內(nèi)外資立法的協(xié)調(diào)與沖突問題。最后，分析了美中雙邊協(xié)定談判的推進(jìn)對(duì)我國(guó)雙邊協(xié)定發(fā)展的影響。 第三部分主要根據(jù)前文分析的主要問題，在當(dāng)前探索外商投資實(shí)行準(zhǔn)入前國(guó)民待遇加負(fù)面清單的管理模式的大形勢(shì)下，提出完善我國(guó)BITs國(guó)民待遇條款的一些建議。
[Abstract]:Bilateral investment agreements (bits) are agreements between the two countries on investment and protection issues between them. Investment treatment is the origin of value in investment agreements, in which national treatment is an important principle in the field of international investment law. With the development of economic globalization, the principle of national treatment is becoming more and more important in the field of international investment, especially the national treatment before admission. It has become a research hotspot at present. Combing many bilateral investment agreements that China has signed, 48 bilateral agreements contain provisions on national treatment, which seem to be similar in content. However, due to the social systems and legal systems of various countries, The terms of national treatment in BITs are not the same because of the negotiation status and negotiation time. This paper takes the national treatment in bilateral Investment treaties (bits) signed by China as the object of study, which is divided into two parts: introduction. Text and conclusions. The text is divided into three parts:. The first part introduces the concept and characteristics of national treatment from the basic theory of national treatment, and expounds the scope of application of national treatment from the stage of access and the stage of operation. The second part mainly studies the contracting practice and main problems of the national treatment clause of the bilateral Investment Agreement (bits) signed by China. Firstly, it introduces the main contents of the bilateral Investment Agreement (bits) and the role of investor protection. Based on the statistics of the bilateral agreements signed by China at different time stages, this paper makes a preliminary analysis of the BITs with national treatment clauses signed at different time stages, and then combs the characteristics of the expression of the national treatment clauses in the above agreements. Combined with the arbitration case, the author emphatically analyzes the main problems in the national treatment of bilateral investment agreements in China. The author thinks that there are four main problems, one is that the definition of investment and investor in the BITs concluded by our country is not uniform. Second, in the BITs signed by our country, there is the problem of merging the most-favoured-nation treatment clause with the national treatment clause, and the third is the lack of systematic measures of the national treatment. Finally, the paper analyzes the influence of the promotion of bilateral agreement negotiation between the United States and China on the development of bilateral agreement in China. In the third part, according to the main problems of the previous analysis, under the current situation of exploring the management mode of national treatment plus negative list of foreign investment before admission, some suggestions are put forward to perfect the national treatment clause of BITs in our country.
