OHADA框架下跨國(guó)投資的法律保護(hù)研究

【摘要】:非洲一直是我國(guó)企業(yè)進(jìn)行海外投資的首選目的地之一,特別是隨著我國(guó)“一帶一路”戰(zhàn)略的實(shí)施,越來(lái)越多的企業(yè)將投資的目光投向了非洲。在對(duì)非洲投資如此熱如火如荼的境況下,作為投資者應(yīng)該保持著理性的態(tài)度。特別是在貿(mào)易往來(lái)中,必不可少的會(huì)產(chǎn)生貿(mào)易糾紛,如何能夠更好的保護(hù)自己的合法權(quán)益,是每一個(gè)投資者應(yīng)該慎重考慮的問(wèn)題。而非洲各國(guó)之間,由于歷史的原因,沒(méi)有形成統(tǒng)一的國(guó)際組織對(duì)對(duì)外貿(mào)易進(jìn)行監(jiān)管,同時(shí)也沒(méi)有形成統(tǒng)一的制度。這就為在非洲進(jìn)行投資的企業(yè)尋求合理的保護(hù)造成了障礙。但相對(duì)的,非洲區(qū)法律區(qū)域化有了長(zhǎng)足的發(fā)展。OHADA就是非洲法律區(qū)域化的重要產(chǎn)物之一。與其他區(qū)域化組織相比,OHADA的成員國(guó)國(guó)內(nèi)局勢(shì)穩(wěn)定,其投資環(huán)境也相對(duì)友好。另外,該組織也建立了自己的糾紛解決制度,對(duì)需要解決投資貿(mào)易糾紛的海外投資者而言是一個(gè)非常不錯(cuò)的選擇。本文即是以該組織的糾紛解決制度為基礎(chǔ)展開(kāi)討論,主要分為三個(gè)部分。首先對(duì)投資者在OHADA成員國(guó)的投資現(xiàn)狀進(jìn)行了梳理,介紹了在這些國(guó)家的投資環(huán)境,分析了所面臨的投資風(fēng)險(xiǎn);總體來(lái)說(shuō),OHADA框架下的投資保護(hù)以仲裁為主要手段,因而第二部分對(duì)此進(jìn)行了詳細(xì)的梳理和分析,在介紹該OHADA中仲裁制度概況的基礎(chǔ)上,與我國(guó)國(guó)內(nèi)仲裁制度進(jìn)行對(duì)比,分析了OHADA框架下仲裁制度的優(yōu)勢(shì)和限制。第三部分是對(duì)加強(qiáng)對(duì)外貿(mào)易投資法律保護(hù)的建議,在實(shí)踐中,雖然成員國(guó)都對(duì)此制度予以了認(rèn)可,但還存在著對(duì)仲裁結(jié)果持有積極和消極態(tài)度的兩派觀點(diǎn),會(huì)對(duì)投資者造成不同的影響。鑒于此,投資者應(yīng)該從投資的指導(dǎo)原則、投資的風(fēng)險(xiǎn)評(píng)估、仲裁制度影響因素等方面加強(qiáng)貿(mào)易糾紛法律保護(hù)能力。
[Abstract]:Africa has always been one of the preferred destinations for our enterprises to invest abroad, especially with the implementation of our "Belt and Road" strategy. More and more companies are looking for investment in Africa. Under such a hot investment in Africa, investors should maintain a rational attitude, especially in trade transactions. It is essential that trade disputes arise, and how to better protect their legitimate rights and interests is a matter that every investor should carefully consider. And among African countries, due to historical reasons. There is no unified international organization to regulate foreign trade, nor a unified system. This creates an obstacle for firms investing in Africa to seek reasonable protection. OHADA is one of the important products of legal regionalization in Africa. Compared with other regional organizations, OHADA has a stable situation in its member countries. Its investment environment is also relatively friendly. In addition, the organization has also established its own dispute resolution system. It is a very good choice for overseas investors who need to solve the investment and trade disputes. This paper is based on the dispute resolution system of the organization. It is mainly divided into three parts. Firstly, the present situation of investors' investment in OHADA member countries is combed out, the investment environment in these countries is introduced, and the investment risk is analyzed. Generally speaking, the main means of investment protection under the framework of OHADA is arbitration, so the second part combs and analyzes this in detail, on the basis of introducing the general situation of arbitration system in this OHADA. Compared with China's domestic arbitration system, this paper analyzes the advantages and limitations of the arbitration system under the framework of OHADA. The third part is to strengthen the legal protection of foreign trade investment in practice. Although the system has been endorsed by member States, there are still two views, both positive and negative, on the outcome of the arbitration, which will have different effects on investors. Investors should strengthen the ability of legal protection of trade disputes from the following aspects: the guiding principles of investment, the risk assessment of investment, the influencing factors of arbitration system, and so on.
