【摘要】:國(guó)際投資仲裁的透明度問題始于《北美自由貿(mào)易協(xié)定》,在CSID仲裁規(guī)則》下得到積極跟進(jìn),并在2014年的UNCITRAL《透明度公約》和《透明度規(guī)則》中后來居上。國(guó)際投資仲裁中的透明度規(guī)則主要包含仲裁信息上的公開,仲裁程序監(jiān)督,仲裁裁決的公開三方面,主要涉及的個(gè)人與國(guó)家這對(duì)傳統(tǒng)意義上不平等的主體,這也為之后投資仲裁程序埋下了改革的種子。研究國(guó)際投資爭(zhēng)端仲裁的透明度改革問題,必將會(huì)涉及到NAFTA、ICSID和UNCITRAL三大仲裁機(jī)制。三大機(jī)制下各自仲裁規(guī)則的修訂及發(fā)展的比較,是國(guó)際投資仲裁透明度改革發(fā)展研究的起點(diǎn)和關(guān)鍵,同時(shí)各大機(jī)制的修訂及新規(guī)則的出現(xiàn)反映了投資實(shí)踐對(duì)理論的需求趨勢(shì),也是對(duì)透明度改革實(shí)現(xiàn)路徑的很好回答。隨著《透明度規(guī)則》和《透明度公約》的簽署和公開,透明度規(guī)則已經(jīng)成為國(guó)際投資仲裁領(lǐng)域無法繞避的問題,但是保密性一直是仲裁的基本原則,從何種程度上加以突破或者改變?nèi)耘f是實(shí)踐需要進(jìn)一步考量的問題。本文在介紹透明度的同時(shí),就透明度與秘密性之間的博弈也進(jìn)行了分析,之后將透明度原則的適用落腳于中國(guó)的投資實(shí)踐。本文第一部分主要對(duì)國(guó)際投資爭(zhēng)端仲裁中的透明度問題進(jìn)行了法理上的分析,指出透明度研究的價(jià)值取向以及在國(guó)際投資仲裁中增強(qiáng)透明度的合理性,進(jìn)而簡(jiǎn)要的梳理出在國(guó)際投資仲裁中增強(qiáng)透明度的實(shí)現(xiàn)路徑。盡管透明度改革是國(guó)際投資仲裁程序的大勢(shì)所趨,但是如何進(jìn)行改革,以何種深度來接納透明度仍舊需要思考。本文第二部分通過具體分析制度與制度下的案例相結(jié)合,通過對(duì)NAFTA和ICSID的理論分析和實(shí)證分析,著重研究最新通過的《透明度規(guī)則》和《透明度條約》,并對(duì)規(guī)則和條約下的透明度原則適用標(biāo)準(zhǔn)進(jìn)行闡述,以期對(duì)中國(guó)的投資實(shí)踐提供借鑒。本部分同時(shí)分析了透明度實(shí)踐對(duì)于現(xiàn)階段投資實(shí)踐的影響以及投資條約的新發(fā)展,無論是多邊還是雙邊投資條約,必然會(huì)很大程度上反映透明度改革實(shí)踐。進(jìn)而文章第三部分以兩者為借鑒去分析透明度原則和傳統(tǒng)秘密性原則的博弈,通過透明度改革對(duì)原有仲裁秘密性的顛覆,進(jìn)而論證透明度規(guī)則應(yīng)該建立國(guó)際統(tǒng)一的適用標(biāo)準(zhǔn),并分析了現(xiàn)階段各個(gè)國(guó)家對(duì)于透明度改革的態(tài)度。本文第四部分回歸到透明度改革對(duì)于中國(guó)投資實(shí)踐的影響,主要包括對(duì)于目前中國(guó)正在簽訂的BIT條約和其他國(guó)際條約的影響,以及接納透明度可以會(huì)對(duì)中國(guó)的國(guó)內(nèi)法制及仲裁規(guī)則的沖擊,并對(duì)中國(guó)是否應(yīng)該積極參與透明度改革提出建議。綜上所述,本文通過比較分析的方法,將實(shí)證研究與理論研究相結(jié)合,對(duì)透明度改革及其適用、影響進(jìn)行了詳細(xì)了闡述,最后回歸到我國(guó)立法與司法實(shí)踐中的問題,希望能對(duì)我國(guó)相關(guān)立法的完善以及投資實(shí)踐有所裨益。
[Abstract]:The issue of transparency in international investment arbitration "began in the North American Free Trade Agreement", are actively follow up on the CSID Arbitration Rules >, and catch up from behind transparency in UNCITRAL< convention > and < 2014 >. Transparency rules in international investment arbitration arbitration transparency rules mainly contains information on the public supervision and arbitration arbitration procedure, open three mainly, inequality involving the individual and the state of the traditional sense of the subject, this is after the investment arbitration procedures laid the seeds of reform. Transparency on Reform of international investment dispute arbitration, will involve NAFTA, ICSID and UNCITRAL three arbitration mechanism. Chinese analyzed on Jurisprudence in the first part of the international investment dispute arbitration transparency problems, pointed out study on the value orientation of transparency and rationality to enhance transparency in the international investment arbitration, and then briefly sorted out in the international investment arbitration In the realization of the path to enhance transparency. Although transparency reform is represent the general trend of international investment arbitration procedures, but how to reform, in which the depth to accept transparency still need to think. The second part of this paper through the analysis of system and system of combining case, through theoretical analysis and empirical analysis of NAFTA and ICSID, focuses on the research of < transparency rules > and < the transparency of the treaty, and elaborates the applicable rules and treaties under the principle of transparency standards, provide reference for the investment practice in order to Chinese. This part also analyzes the practice for the new development of transparency effects of the current investment practice and investment treaties, whether multilateral or bilateral investment treaties that will largely reflect the transparency and reform practice. The third part of the article to them for reference to analyze the principle of transparency and tradition Secret game principle, through transparency reform to subvert the original arbitration confidentiality, applicable standards and that the transparency rules should be set up unified international, and analysis of the various countries at this stage for transparency toward reform. The fourth part return to the impact on investment China transparency reform practice, mainly including the influence on the current Chinese BIT treaty sign and other international treaties, as well as the impact of the domestic legal system and may accept the transparency of the arbitration rules Chinese, and whether China should actively participate in the proposed transparency reform. To sum up, this paper through the comparative analysis method, empirical research and theoretical research on the combination of transparency reform and its application, the effect of in detail, and finally return to the legislative and judicial practice in our country, the hope of China related legislation The improvement and investment practice are beneficial.
