【摘要】：共享經(jīng)濟(jì)的到來(lái)催生了企業(yè)組織一系列的變化。以Uber為例,關(guān)于其司機(jī)到底屬于雇員還是獨(dú)立承包商的思考不應(yīng)該僅止步于雇傭關(guān)系,其也喚起了針對(duì)組織與組織法變革的重新討論。從企業(yè)理論和組織學(xué)的視角來(lái)理解公司邊界、公司契約與科層制組織結(jié)構(gòu)的變化有助于我們探明作為組織法的公司法所面臨的外部壓力和改進(jìn)訴求。共享經(jīng)濟(jì)以其特有的方式削減了交易成本阻隔在市場(chǎng)中的壁壘,這對(duì)企業(yè)簽約向市場(chǎng)簽約的轉(zhuǎn)變起到了推波助瀾的作用,但是與此同時(shí),企業(yè)組織的內(nèi)部規(guī)范也在逐步適應(yīng)國(guó)家法體系的約束,Uber所提出的調(diào)解協(xié)議就是一種例證。組織的變化與組織法變化的耦合,要求在商業(yè)實(shí)踐與組織發(fā)展的張力中重塑公司法,從而提升公司法整體的適應(yīng)性。
[Abstract]:The arrival of sharing economy gave birth to a series of changes in enterprise organization.In the case of Uber, thinking about whether its driver is an employee or an independent contractor should not end with employment relations, but also evokes renewed debate over organizational and organic changes.From the angle of firm theory and organization, we can understand the company boundary, and the change of corporate contract and hierarchical organization structure will help us to find out the external pressure and the demand for improvement of corporate law as an organic law.The sharing economy, in its own way, cuts down on the barriers that trade costs hold back from the market, which contributes to the transition of companies to contracts, but at the same time,The internal norms of business organizations are gradually adapting to the constraints of the international legal system. Uber's mediation agreement is an example.The coupling of the change of organization and the change of organization law requires the reconstruction of company law in the tension between business practice and organizational development, so as to enhance the adaptability of the company law as a whole.
