公司人格逆向否認(rèn)研究

【摘要】:自2005年新《公司法》開始施行以來,早在英美法系國家創(chuàng)立的“刺破公司面紗”,即公司人格否認(rèn)制度,在我國首次以成文法的方式得以確立。作為規(guī)制股東濫用公司法人獨立人格和股東有限責(zé)任的措施,公司人格否認(rèn)不是對公司人格獨立和股東有限責(zé)任的否定,而是對其進(jìn)行實質(zhì)上的修正和維護(hù),是追求實質(zhì)正義和衡平價值的一種手段。然而,濫用公司法人獨立人格的行為層出不窮,現(xiàn)有公司人格否認(rèn)制度在股東向公司惡意轉(zhuǎn)移資產(chǎn)以逃避自身債務(wù)等行為面前,顯得捉襟見肘,無能為力。因而,有必要對公司人格逆向否認(rèn)進(jìn)行深入研究,以彌補我國傳統(tǒng)公司人格否認(rèn)的不足。本文帶著發(fā)現(xiàn)問題的眼光,采用法律解釋、實證研究、比較分析和歸納分析的方法,從我國現(xiàn)有相關(guān)爭議案例出發(fā),引出對公司人格逆向否認(rèn)的思考。文章分引言、正文、結(jié)語三部分,正文包括四章,首先在介紹傳統(tǒng)公司人格否認(rèn)的基礎(chǔ)上引出與其相對的公司人格逆向否認(rèn),并對其特征、類型、歷史發(fā)展進(jìn)行了分析。公司人格逆向否認(rèn)包括內(nèi)部逆向否認(rèn)和外部逆向否認(rèn)兩種類型,是指在公司人格與股東人格發(fā)生混同的情境下,視公司與股東為一體,從而讓公司替股東承擔(dān)責(zé)任、讓公司具有股東的某種身份與資格或使股東得以主張公司對第三人所享有的某種權(quán)利,其責(zé)任流向和著力點與傳統(tǒng)公司人格否認(rèn)正好相反。第二章從法學(xué)、經(jīng)濟(jì)學(xué)、社會學(xué)的角度對公司人格逆向否認(rèn)存在的學(xué)理基礎(chǔ)進(jìn)行了重點分析,并介紹了該制度在其發(fā)源地的美國和我國的司法實踐,奠定了其堅實的現(xiàn)實基礎(chǔ)。第三章歸納了公司人格逆向否認(rèn)的構(gòu)成要件,并結(jié)合我國的實踐主要分析了外部公司人格逆向否認(rèn)的主體、行為、后果三個構(gòu)成要件。第四章站在上述幾章論述的基礎(chǔ)上,總結(jié)我國當(dāng)前公司法司法實踐中公司人格逆向否認(rèn)制度存在的問題,從立法模式、責(zé)任承擔(dān)、程序規(guī)則三個方面提出我國公司人格逆向否認(rèn)制度構(gòu)建的一些看法。相較于以往的研究,本文對公司人格逆向否認(rèn)的發(fā)展歷史進(jìn)行了梳理,并從多個方面介紹了其學(xué)理基礎(chǔ),有助于理解公司人格逆向否認(rèn)存在的合理性和價值;較為全面地介紹了內(nèi)部逆向和外部逆向兩種類型的逆向否認(rèn)在美國的產(chǎn)生演變,并對其分別進(jìn)行了分析。另外本文結(jié)合我國現(xiàn)實國情和司法環(huán)境,選擇了外部公司人格逆向否認(rèn)而舍棄了美國的內(nèi)部公司人格逆向否認(rèn),詳細(xì)總結(jié)了外部逆向人格否認(rèn)的構(gòu)成要件,為其法律適用提供了便利。最后,本文還結(jié)合我國目前這一制度適用的現(xiàn)狀,從實體法和程序法的角度對其制度構(gòu)建提出了自己的建議,以期該制度能在我國早日確立。
[Abstract]:Since the implementation of the new Company Law in 2005, the system of "piercing the corporate veil", that is, the denial of corporate personality, which has been established in countries of common law system, has been established in the form of statutory law for the first time in our country.As a measure to regulate the abuse of corporate independent personality and shareholder limited liability by shareholders, the denial of corporate personality is not the negation of corporate personality independence and shareholders' limited liability, but it is substantially revised and maintained.It is a means of pursuing substantive justice and equalizing value.However, the behavior of abusing the independent personality of company legal person appears endlessly. The existing system of corporate personality denial is overstretched and powerless in the face of shareholders' malicious transfer of assets to the company in order to evade their own debts.Therefore, it is necessary to study the reverse denial of corporate personality in order to make up for the deficiency of the traditional denial of corporate personality.With the vision of finding problems, this paper uses the methods of legal interpretation, empirical research, comparative analysis and inductive analysis, starting from the existing relevant dispute cases in China, leads to the thinking of reverse denial of corporate personality.The article is divided into three parts: introduction, text and conclusion. The text includes four chapters. Firstly, it introduces the traditional corporate personality denial and then draws out the reverse denial of corporate personality, and analyzes its characteristics, types and historical development.The reverse denial of corporate personality includes two types: internal reverse denial and external reverse denial. It refers to the situation that the corporate personality and shareholder personality are mixed, and the company is regarded as one with the shareholders, so that the company can bear the responsibility for the shareholders.It is contrary to the denial of traditional corporate personality to make the company have a certain identity and qualification of shareholders or to claim a certain right of the company to the third party.The second chapter focuses on the theoretical basis of the adverse denial of corporate personality from the angles of law, economics and sociology, and introduces the judicial practice of the system in the United States and China, where it originated, which lays a solid realistic foundation.The third chapter summarizes the constituent elements of the reverse denial of corporate personality, and analyzes the main body, behavior and consequence of the adverse denial of corporate personality in combination with the practice in our country.On the basis of the above chapters, the fourth chapter summarizes the problems existing in the reverse denial of corporate personality in the current judicial practice of company law in our country, from the legislative model, the responsibility to bear,Three aspects of procedural rules put forward some views on the construction of reverse denial system of corporate personality in China.Compared with the previous studies, this paper combs the development history of the reverse denial of corporate personality, and introduces its theoretical basis from many aspects, which is helpful to understand the rationality and value of the existence of the reverse denial of corporate personality.This paper introduces the evolution of internal reverse denial and external reverse denial in the United States, and analyzes them respectively.In addition, combined with the reality of our country and the judicial environment, this paper chooses the reverse denial of external corporate personality and gives up the reverse denial of internal corporate personality of the United States, and summarizes in detail the constitutive elements of the denial of external reverse personality.The application of the law is facilitated.Finally, this article also combines the present situation of this system of our country, from the substantive law and the procedure law angle to its system construction proposed own suggestion, hoped this system can establish in our country as soon as possible.
