美國住房抵押貸款法律制度研究

【摘要】: 住房抵押貸款作為一種有效的住房融資方式,在美國得到長足發(fā)展。美國不僅形成了規(guī)模龐大的住房抵押貸款一級市場,而且創(chuàng)造性地推出住房抵押貸款證券化業(yè)務(wù),解決了住房抵押債權(quán)長期不流動性難題,盤活了一級市場的資金。美國在規(guī)范住房抵押貸款上,制定了一系列的法律規(guī)范,在一級市場上建立政府擔(dān)保與私人商業(yè)保險相結(jié)合的保險機(jī)制,保障抵押貸款一級市場的穩(wěn)定性,同時在二級市場上,又設(shè)立政府或準(zhǔn)政府機(jī)構(gòu)以聯(lián)邦政府信用參與住房抵押貸款資產(chǎn)證券化,從而構(gòu)建了銜接嫻熟的住房抵押貸款一二級市場。 在住房商品化的大背景下,我國住房抵押貸款規(guī)模也迅速增長,但我國住房抵押貸款法律制度還不成熟,尤其是有關(guān)住房抵押貸款證券化法律制度僅處于起步階段。因此,深入研究美國較為完善的住房抵押貸款法律制度,對于推進(jìn)我國住房抵押貸款法律制度建設(shè)具有重要的作用。 本文以美國住房抵押貸款法律制度為研究對象,采用比較分析和理論聯(lián)系實際方法,全面系統(tǒng)地分析美國住房抵押貸款一級市場和二級市場的法律制度,并結(jié)合我國住房抵押貸款法律制度現(xiàn)狀,在對比分析的基礎(chǔ)上,對我國住房抵押貸款一級市場的法律制度、推行住房抵押貸款證券化及構(gòu)建住房抵押貸款證券化法律監(jiān)管框架方面提出完善建議。希望能對我國住房抵押貸款制度的理論研究和實際操作起到有價值的參考作用。全文共分為六個部分: 第一部分簡要對住房抵押貸款法律制度進(jìn)行綜述,包括住房抵押貸款的概念、法律特征、法律主體以及法律關(guān)系。 第二部分簡要介紹了美國住房抵押貸款法律制度的形成和發(fā)展過程。 第三部分具體介紹了美國住房抵押貸款法律制度。一級市場的法律主體、運作模式和法律關(guān)系,一級市場的住房抵押貸款種類,抵押貸款的擔(dān)保與保險等。二級市場法律制度內(nèi)容主要包括住房抵押貸款證券化的概念和種類,運作模式、法律主體與法律關(guān)系、以及住房抵押貸款支持證券的發(fā)行制度及監(jiān)管制度。 第四部分具體介紹了中國住房抵押貸款法律制度。第一節(jié)對住房抵押貸款一級市場法律制度進(jìn)行了介紹,包括一級市場的貸款制度、擔(dān)保制度和保險制度。第二節(jié)主要介紹了住房抵押貸款證券化的法律現(xiàn)狀,包括住房抵押貸款支持證券的發(fā)行制度、交易制度及監(jiān)管制度。第三節(jié)具體分析了中國住房抵押貸款制度存在的問題。包括貸款制度程序上缺乏可操作性、抵押法律制度實踐中存在法律沖突,擔(dān)保與保險機(jī)制不健全以及住房抵押貸款證券化立法與風(fēng)險監(jiān)管不完善。 第五部分提出對中國住房抵押貸款法律制度的完善建議。 第六部分是結(jié)語,概括總結(jié)全文。
[Abstract]:As an effective way of housing financing, mortgage loan has developed rapidly in the United States. The United States has not only formed a large primary market for housing mortgages, but also creatively launched the securitization business of housing mortgages, which has solved the long-term illiquidity problem of housing mortgage claims and activated the funds of the primary market. In regulating housing mortgage loans, the United States has formulated a series of legal regulations to establish an insurance mechanism combining government guarantees with private commercial insurance in the primary market to ensure the stability of the primary mortgage market, and at the same time, in the secondary market. The government or quasi-government agencies are also set up to participate in the securitization of mortgage assets with the credit of the federal government. Under the background of housing commercialization, the scale of housing mortgage loan in our country also increases rapidly, but the legal system of housing mortgage loan in our country is not mature, especially the legal system of housing mortgage securitization is only in its infancy. Therefore, a thorough study of the perfect legal system of housing mortgage loan in the United States plays an important role in promoting the construction of the legal system of housing mortgage loan in China. This paper takes the legal system of housing mortgage loan in the United States as the research object, and analyzes the legal system of the primary and secondary markets of housing mortgage in the United States in a comprehensive and systematic way by means of comparative analysis and the combination of theory and practice. Combined with the current situation of the legal system of housing mortgage loan in our country, on the basis of comparative analysis, the legal system of the primary market of housing mortgage loan in our country is analyzed. Some suggestions are put forward to promote mortgage securitization and construct the legal regulatory framework of housing mortgage securitization. Hope to play a valuable reference role in the theoretical research and practical operation of the housing mortgage loan system in China. The full text is divided into six parts: The first part briefly summarizes the legal system of housing mortgage loan, including the concept of housing mortgage loan, legal characteristics, legal subject and legal relationship. The second part briefly introduces the formation and development of American mortgage legal system. The third part introduces the legal system of mortgage loan in America. The legal subject of the primary market, the mode of operation and the legal relationship, the type of housing mortgage loan in the primary market, the guarantee and insurance of mortgage loan, etc. The content of the secondary market legal system mainly includes the concept and type, the operating mode, the legal subject and the legal relationship of the housing mortgage securitization, as well as the issuing system and the supervision system of the housing mortgage backed securities. The fourth part introduces the legal system of housing mortgage loan in China. The first section introduces the legal system of the primary market of housing mortgage, including the loan system of the primary market, the guarantee system and the insurance system. The second section mainly introduces the current legal situation of mortgage securitization, including the issue system, transaction system and supervision system of mortgage backed securities. The third section analyzes the problems of the housing mortgage loan system in China. It includes the lack of maneuverability in the procedure of loan system, the conflict of laws in the practice of mortgage legal system, the imperfection of guarantee and insurance mechanism, and the imperfect legislation and risk supervision of mortgage securitization. The fifth part puts forward some suggestions to perfect the legal system of housing mortgage loan in China. The sixth part is the conclusion, summarizes the full text.
