房屋居間機(jī)構(gòu)未盡審慎核查義務(wù)之責(zé)任認(rèn)定

【摘要】:在房屋買賣居間活動(dòng)中,房產(chǎn)中介公司作為居間人應(yīng)根據(jù)委托人的真實(shí)意思開展居間活動(dòng),并盡到專業(yè)從業(yè)者的注意義務(wù)。在委托人本人未到場(chǎng)的情況下,房產(chǎn)中介公司在建立與委托人的居間合同關(guān)系時(shí),應(yīng)核查委托人代理人提供的委托書、公證文書等相關(guān)文件的真實(shí)性。房產(chǎn)中介公司未核查相關(guān)文書真?zhèn)?造成當(dāng)事人損失的,是否應(yīng)當(dāng)對(duì)委托人的損失承擔(dān)賠償責(zé)任,以及如何認(rèn)定其承擔(dān)賠償責(zé)任的范圍,在實(shí)踐中存在一定爭(zhēng)議。本文認(rèn)為,房產(chǎn)中介公司作為專業(yè)的居間機(jī)構(gòu),因未盡必要的審慎核查義務(wù)而導(dǎo)致委托人利益受損的,應(yīng)就該相對(duì)方的損失承擔(dān)相應(yīng)的補(bǔ)充賠償責(zé)任,對(duì)其賠償責(zé)任的范圍可以從不真正連帶責(zé)任理論的角度來(lái)進(jìn)行分析和認(rèn)定。
[Abstract]:In housing brokering activities, a real estate intermediary company, as an intermediary, should carry out intermediary activities according to the true intention of the principal, and fulfill the duty of care of the professional practitioners. In the case of the client's absence from the scene, When establishing an intermediary contract with the principal, a real estate intermediary company shall verify the authenticity of the relevant documents such as the power of attorney, notarization documents and other documents provided by the principal's agent. If the real estate intermediary company fails to verify the authenticity of the relevant documents and causes losses to the parties, Whether we should bear the liability for the loss of the trustor and how to determine the scope of the liability, there is some controversy in the practice. This paper argues that the real estate intermediary company as a professional intermediary, Where the interest of the principal is impaired by failure to perform the necessary duty of prudent verification, the party shall bear the corresponding supplementary liability for the loss of the counterparty. The scope of its liability can be analyzed and identified from the perspective of the theory of joint and several liability.
