論以房抵債協(xié)議買賣條款之法律效力——以民間借貸司法解釋第24條為中心

【摘要】:以房抵債協(xié)議是指通過(guò)簽訂房屋買賣合同擔(dān)保民間借貸的協(xié)議,其在司法實(shí)踐中大量存在,對(duì)于該協(xié)議中買賣條款的效力的認(rèn)定存在有效與無(wú)效的爭(zhēng)議,而《最高人民法院關(guān)于審理民間借貸案件適用法律若干問(wèn)題的規(guī)定》第24條則對(duì)其效力采取了回避的態(tài)度。因?yàn)橐苑康謧鶇f(xié)議不存在通謀虛偽意思表示且與流押契約有明顯區(qū)別,因此不能直接對(duì)其買賣條款的效力進(jìn)行否定。通過(guò)對(duì)以房抵債協(xié)議買賣條款的性質(zhì)進(jìn)行剖析,對(duì)讓與擔(dān)保說(shuō)、后讓與擔(dān)保說(shuō)、附解除條件的合同說(shuō)提出質(zhì)疑,指出其本質(zhì)上屬于代物清償預(yù)約,在符合法定情形下,債權(quán)人可以排除第三人對(duì)房屋價(jià)款的請(qǐng)求權(quán),即債權(quán)人此時(shí)享有物權(quán)期待權(quán),以期對(duì)司法實(shí)踐中此類爭(zhēng)議的解決提供一個(gè)可以參考的路徑。
[Abstract]:The agreement of house for debt refers to the agreement to guarantee folk loan by signing the contract of house purchase and sale, which exists in a large number of judicial practice. The validity and invalidation of the validity of the purchase and sale clause in this agreement are disputed. Article 24 of the Supreme people's Court on the application of law to private lending cases takes an evasive attitude towards its effectiveness. There is a clear difference in the bond. Therefore, we can not directly negate the validity of the purchase and sale clause. Through the analysis of the nature of the purchase and sale clause of the agreement on paying for debts with housing, we can question the theory of the transferable guarantee, the post-transferable guarantee and the contract theory with the conditions of rescission. The author points out that it is essentially an appointment to pay off goods on behalf of the property, and in accordance with the legal circumstances, the creditor can exclude the third party's right to claim the price of the house, that is, the creditor has the right of expectation in real right at this time. In order to provide a reference path for the settlement of such disputes in judicial practice.
