【摘要】：黨的十八大報告提出,要推動文化產(chǎn)業(yè)快速發(fā)展,到2020年全面建成小康社會,文化產(chǎn)業(yè)成為國民經(jīng)濟支柱型產(chǎn)業(yè)。文化產(chǎn)業(yè)企業(yè)具有“輕資產(chǎn)”的特點,缺乏有形抵押物,所擁有的知識產(chǎn)權(quán)等無形資產(chǎn)難以進行價值評估,文化企業(yè)融資與其他行業(yè)相比更為困難。而A股主板市場、中小板、創(chuàng)業(yè)板以及“新三板”市場等多層次資本市場,為處于不同發(fā)展階段的文化企業(yè)提供了必要的融資支持有助于緩解文化企業(yè)融資難的現(xiàn)狀。我國企業(yè)上市途徑主要有兩種:IPO上市和借殼上市。鑒于IPO上市門檻高耗時長的前提下,并購重組成為文化企業(yè)上市的另一選擇。其中,借殼上市成為近幾年來文化企業(yè)尤為青睞的上市方式。本文選取了2014年完美影視借殼金磊股份成功上市的案例,從財務(wù)績效的角度進行分析,評價這次上市是否達到預(yù)期的效益。案例中首先分別從殼公司和借殼公司兩個角度分析了此次借殼上市的動因。然后分析此次借殼上市的績效,包括短期績效分析和長期績效分析,采用了事件研究法、財務(wù)指標分析法和基于EVA的績效分析。事件研究法選擇的窗口期為公告發(fā)布日的前十個交易日和后十個交易日共二十一天,數(shù)據(jù)處理后的結(jié)果發(fā)現(xiàn)該窗口期內(nèi)累計超額收益率為正,最高達到90,給企業(yè)股東帶來了財富效應(yīng)。財務(wù)指標分析法從盈利能力、償債能力、發(fā)展能力和管理能力四個方面分析完美影視借殼上市之后的財務(wù)表現(xiàn)�；贓VA的績效分析則站在股東的角度,綜合考慮企業(yè)的全部資本包括股權(quán)資本和債務(wù)資本,計算借殼上市企業(yè)的經(jīng)濟增加值前后變化。從本文案例的結(jié)論可以得出,完美影視借殼上市,擴大企業(yè)投資規(guī)模的同時在行業(yè)內(nèi)保持著良好的競爭力,給企業(yè)的短期和長期績效方面帶來了正效應(yīng)。隨著文化產(chǎn)業(yè)的加速發(fā)展,資本是文化企業(yè)的必然需求。文化企業(yè)力求擴大投資規(guī)模以力保在業(yè)內(nèi)的競爭力,融資渠道的選擇和相應(yīng)的經(jīng)濟效益是企業(yè)考慮的重點。本文通過案例研究的方式,旨在為同行業(yè)的其他企業(yè)和決策者提供參考和借鑒。
[Abstract]:The report of the 18 National Congress of the Communist Party of China (CPC) pointed out that it is necessary to promote the rapid development of the cultural industry and to build a well-off society in an all-round way by 2020, and the cultural industry has become a pillar industry of the national economy. Lacking of tangible collateral, intangible assets such as intellectual property are difficult to evaluate, and financing of cultural enterprises is more difficult than other industries. Growth enterprise market and "new three board" market and other multi-level capital markets. Providing necessary financing support for cultural enterprises at different stages of development is helpful to alleviate the current situation of financing difficulties of cultural enterprises. There are two main ways for Chinese enterprises to go public. IPO listing and backdoor listing. In view of the IPO listing threshold high time-consuming premise. M & A has become another choice for cultural enterprises to go public. Backdoor listing has become the most popular way for cultural enterprises to go public in recent years. This paper selects the case of the successful listing of Jinlei shares of the perfect film and television in 2014 and analyzes the financial performance from the point of view of financial performance. The case first analyzes the motivation of the backdoor listing from the shell company and the shell company, and then analyzes the performance of the backdoor listing. Including short-term performance analysis and long-term performance analysis, using the event research method. Financial index analysis and performance analysis based on EVA. The window period chosen by the event study method is 21 days in the first ten trading days and the next ten trading days on the day of announcement. After data processing, it is found that the cumulative excess yield is positive in the window period, the highest is 90, which brings wealth effect to the shareholders. From the conclusion of the case of this paper, we can conclude that the perfect film and television backdoor listing. Expanding the scale of enterprise investment at the same time maintaining a good competitiveness in the industry, to the short-term and long-term performance of the enterprise has brought positive effects. With the accelerated development of the cultural industry. Capital is the inevitable demand of cultural enterprises. Cultural enterprises strive to expand the scale of investment in order to ensure the competitiveness of the industry. The selection of financing channels and the corresponding economic benefits are the focus of the enterprises' consideration. This paper aims to provide reference and reference for other enterprises and decision makers in the same industry through the way of case study.
