【摘要】：隨著全球經(jīng)濟一體化的迅速發(fā)展,跨境破產(chǎn)案件越來越多。它涉及相關國家的經(jīng)濟利益甚至公共政策,加上立法上的巨大差異和處理此類案件規(guī)則的不足,以及國際破產(chǎn)公約的缺失,使得國際破產(chǎn)的法律沖突不可避免。有效解決跨國破產(chǎn)中的法律適用問題,保障國際破產(chǎn)中本國和外國債權人的正當權益及當事各方利益的平衡,維護正常的國際經(jīng)濟貿(mào)易秩序,具有重大現(xiàn)實意義。論文首先從國際破產(chǎn)法律適用問題的價值追求、法理基礎等問題進行梳理,深入闡述了國際破產(chǎn)法律適用中的破產(chǎn)案件管轄權、破產(chǎn)要件、破產(chǎn)程序、破產(chǎn)債權、破產(chǎn)財產(chǎn)、破產(chǎn)管理及國際破產(chǎn)案件判決的域外效力等核心要素,并對國際破產(chǎn)法律適用的實踐模式進行系統(tǒng)考察,分析不同實踐模式的利弊得失。在此基礎上,對我國國際破產(chǎn)法律適用的現(xiàn)狀及存在的問題進行了深入研究,指出了我國國際破產(chǎn)法律適用的立法、司法和國際合作等層面存在的問題,并提出,我國應加強我國各法域之間破產(chǎn)法律的協(xié)調(diào),促進區(qū)域國際破產(chǎn)公約體系的建立,重點構(gòu)建與美英德法間的雙邊國際破產(chǎn)公約,同時積極主導和參與國際破產(chǎn)規(guī)則的制定。
[Abstract]:With the rapid development of global economic integration, the number of cross-border bankruptcy cases is increasing. It involves the economic interests and even public policies of the countries concerned, coupled with huge legislative differences and deficiencies in the rules governing the handling of such cases. And the absence of international bankruptcy conventions, which makes conflicts of international insolvency laws inevitable. Effectively solving the problem of legal application in transnational insolvency, safeguarding the legitimate rights and interests of national and foreign creditors in international bankruptcy and balancing the interests of all parties concerned, It is of great practical significance to maintain the normal international economic and trade order. This paper expounds in depth the core elements of the application of international bankruptcy law, such as jurisdiction of bankruptcy cases, bankruptcy requirements, bankruptcy procedures, bankruptcy claims, bankruptcy property, bankruptcy administration and the extraterritorial effects of international bankruptcy judgments. On the basis of analyzing the advantages and disadvantages of different practical models, this paper makes a thorough study on the current situation and existing problems of international bankruptcy law application in China. This paper points out the problems existing in the aspects of legislation, judicature and international cooperation in the application of international bankruptcy laws in China, and puts forward that China should strengthen the coordination of bankruptcy laws among different jurisdictions of our country and promote the establishment of regional international bankruptcy convention system. It focuses on the establishment of bilateral international bankruptcy conventions with the United States, Britain, Germany and France, and actively leads and participates in the formulation of international bankruptcy rules.
