【摘要】：有這樣一句話:公司法的每一個法律條文都可以成為一個精彩的故事。在《公司法》這本“精彩的故事書”里,有一個看似很小但卻十分重要的部分,那就是股東知情權(quán)。我國《公司法》中已經(jīng)對有限責(zé)任公司的股東知情權(quán)作出了相關(guān)規(guī)定。為了能夠更準(zhǔn)確地適用《公司法》,在公司治理及股東權(quán)益保護方面,2016年12月5日,最高人民法院出臺了《公司法司法解釋(四)》。在此次的司法解釋中,又對股東知情權(quán)作出了一系列的細(xì)化。從司法解釋對股東知情權(quán)內(nèi)容的細(xì)化中我們可以看出,股東知情權(quán)的糾紛依然不斷涌現(xiàn)。在對我國股東知情權(quán)糾紛相關(guān)案例的總結(jié)中,我們可以發(fā)現(xiàn),近幾年出現(xiàn)了很多關(guān)于“新任股東知情權(quán)”的糾紛。我國《公司法》在對股東知情權(quán)的規(guī)定按照公司類型的不同分別加以規(guī)定。本文將從有限責(zé)任公司的股東知情權(quán)角度,分析新加入的股東知情權(quán)的法律保護問題。對于有限責(zé)任公司的新任股東來說,因為其是在公司成立了一段時間以后加入到公司中來,因此盡快地熟知公司相關(guān)信息就顯得尤為重要。因為只有在知悉了公司經(jīng)營信息以后,股東才可能行使監(jiān)督權(quán)等基本權(quán)利,來維護股東的自身利益。在實踐中,有限責(zé)任公司新任股東知情權(quán)的法律糾紛層出不窮,但我國立法中依然沒有對新任股東知情權(quán)保護的相關(guān)規(guī)定。因此,本文將以現(xiàn)實中的兩個案情相似但判決截然不同的案例入手分析:有限責(zé)任公司新任股東知情權(quán)保護面臨哪些問題,這些問題產(chǎn)生的原因是什么,以及如何解決這些問題。并通過借鑒域外的司法實踐,從而思考我國立法應(yīng)彌補之處。
[Abstract]:There is a saying: every legal provision of the Company Law can be a wonderful story. In this wonderful Story Book of Company Law, there is a seemingly small but very important part. That is the shareholders' right to know. In our country's Company Law, the shareholders' right to know has been stipulated. In order to apply the Company Law more accurately, in the aspect of corporate governance and the protection of shareholders' rights and interests, in December 5th 2016, The Supreme people's Court issued the Judicial interpretation of Company Law (4). In this judicial interpretation, a series of refinements have been made on shareholders' right to know. We can see from the refinement of the content of shareholders' right to know by judicial interpretation. Disputes over shareholders' right to know continue to emerge. In the summary of cases related to disputes over shareholders' right to know in China, we can find that, In recent years, there have been a lot of disputes about the "new shareholders' right to know". In China's Company Law, the provisions of shareholders' right to know are stipulated according to the different types of companies. This article will focus on the shareholders' right to know in limited liability companies. Analyzing the legal protection of the right to know of the newly joined shareholders. For the new shareholders of a limited liability company, because they joined the company after the company was established for some time, Therefore, it is particularly important to know the relevant information of the company as soon as possible. Only when we know the information about the operation of the company, can the shareholders exercise their basic rights, such as supervisory power, to protect their own interests. In practice, Legal disputes on the right to know of the new shareholders of limited liability companies emerge in endlessly, but there are still no relevant provisions on the protection of the new shareholders' right to know in the legislation of our country. In this paper, we will start with two cases with similar cases but very different judgments: what problems are faced with the protection of the new shareholders' right to know in a limited liability company, and what are the causes of these problems? And how to solve these problems.
