【摘要】：本文研究背景主要是從中國(guó)目前婚姻整體狀況來看,離婚率逐年升高,甚至超過結(jié)婚率,而且我國(guó)在夫妻財(cái)產(chǎn)制度上確定了夫妻共同財(cái)產(chǎn)制為原則、約定財(cái)產(chǎn)制為輔的財(cái)產(chǎn)制度,自然伴隨夫妻共同財(cái)產(chǎn)離婚時(shí)如何分割的問題。同時(shí),隨著市場(chǎng)經(jīng)濟(jì)的快速發(fā)展和人民生活水平的提高,共同財(cái)產(chǎn)的種類早已超越實(shí)體財(cái)產(chǎn),包含了股權(quán)、債權(quán)、基金等各種非實(shí)體財(cái)產(chǎn),并且此類財(cái)產(chǎn)在夫妻共同財(cái)產(chǎn)中所占比例趨于增長(zhǎng)。本文研究的主題是離婚訴訟中的夫妻共有股權(quán)分割,在以上背景下,該問題成為實(shí)踐中亟待解決的問題。但事實(shí)上,由于在我國(guó)當(dāng)下的立法體系中,《婚姻法》與《公司法》在立法角度以及立法精神上存在較大差異,在夫妻共有股權(quán)分割問題上沒有較為妥當(dāng)?shù)你暯?法律適用的缺失給司法機(jī)關(guān)的審判實(shí)踐也帶來許多困惑。本文主要以我國(guó)離婚訴訟中分割夫妻共同財(cái)產(chǎn)——公司股權(quán)時(shí)兩個(gè)主體面臨的困境及出路為主題,通過對(duì)"中國(guó)裁判文書網(wǎng)"中相關(guān)案例的檢索、分析,歸納、總結(jié)離婚訴訟股權(quán)分割實(shí)踐中股東配偶和股東持股公司面臨的多重困境,梳理我國(guó)目前現(xiàn)行立法體系中的相關(guān)規(guī)定,介紹股權(quán)分割的相關(guān)制度,分析其中存在的不足之處,同時(shí)借鑒、吸收其他國(guó)家相關(guān)立法以及實(shí)踐經(jīng)驗(yàn),提出筆者關(guān)于如何走出困境的個(gè)人想法。文章主要分為五個(gè)部分,緒論部分主要對(duì)離婚訴訟中股權(quán)分割困境的研究背景、研究思路及方法進(jìn)行闡述,說明本文研究的重要意義。第二部分主要對(duì)研究主題中相關(guān)概念進(jìn)行說明,明確股權(quán)的可分割性、夫妻共同財(cái)產(chǎn)以及夫妻共有股權(quán)之間的相關(guān)性和差異性,同時(shí)意在為下文探究困境出路提供前提。第三部分進(jìn)行本文的實(shí)質(zhì)探討,主要通過相關(guān)案例闡述離婚訴訟分割股權(quán)時(shí),股東配偶和股東持股公司面臨的諸多困境。第四部分主要對(duì)我國(guó)相關(guān)立法規(guī)定進(jìn)行梳理,同時(shí)結(jié)合相關(guān)案例總結(jié)我國(guó)司法裁判中的實(shí)踐經(jīng)驗(yàn)。第五部分從理論上介紹我國(guó)離婚股權(quán)分割制度,同時(shí)借鑒其他國(guó)家相關(guān)成熟經(jīng)驗(yàn),提出走出困境的可行設(shè)想。在研究方法上,本文主要采用了三種研究方法:一是文獻(xiàn)綜述法,本文通過搜集、閱讀大量股權(quán)分割相關(guān)書籍、期刊、論文、法律條文等文獻(xiàn),對(duì)現(xiàn)有研究成果進(jìn)行歸納、總結(jié),并且結(jié)合自身知識(shí)背景尋找突破,力求在前人研究基礎(chǔ)上有所創(chuàng)新。二是實(shí)證研究法,筆者在"中國(guó)裁判文書網(wǎng)"的案例庫中針對(duì)關(guān)鍵字"離婚"、"股權(quán)分割"進(jìn)行檢索,在檢索結(jié)果相關(guān)性最強(qiáng)的前一百個(gè)案例中挑選其中二十個(gè)案例深入研究,從實(shí)踐出發(fā),指導(dǎo)實(shí)踐。同時(shí)本文通過對(duì)我國(guó)現(xiàn)行股權(quán)分割制度的了解、分析提出適用于我國(guó)國(guó)情的建議。三是比較研究法,本文介紹了其他國(guó)家不同夫妻財(cái)產(chǎn)制度下股權(quán)分割的處理情形,吸收、借鑒了相關(guān)成熟立法司法經(jīng)驗(yàn),希望構(gòu)建出與我國(guó)現(xiàn)實(shí)最符合、與夫妻共同財(cái)產(chǎn)制度最匹配的股權(quán)分割體系。
[Abstract]:The research background of this paper is mainly from the overall situation of marriage in China, divorce rate has increased year by year, even more than the marriage rate, and our country in the property system of husband and wife to determine the common property system as the principle. With the rapid development of the market economy and the improvement of the people's living standards, the property system supplemented by the agreed property system is naturally accompanied by the problem of how to split up the joint property between husband and wife. The category of common property has been beyond the physical property, including equity, creditor's rights, funds and other non-entity property. And the proportion of this kind of property in the joint property of husband and wife tends to grow. The theme of this paper is the split of the joint ownership of husband and wife in divorce proceedings, under the above background. But in fact, in the current legislative system of our country, there are great differences between the Marriage Law and the Company Law in the legislative angle and the legislative spirit. There is no proper connection on the issue of the split of the joint ownership of husband and wife. The lack of application of the law also brings a lot of confusion to the judicial practice. The main theme of this paper is the plight and the way out for the two subjects to split the common property of husband and wife in the divorce proceedings in our country. Through the retrieval, analysis, induction and summary of the related cases in China judgment documents Network, this paper summarizes the multiple difficulties faced by shareholders' spouses and shareholders' shareholding companies in the practice of divorce litigation. Combing the relevant provisions in the current legislative system of our country, introducing the relevant system of equity segmentation, analyzing the shortcomings, and absorbing the relevant legislation and practical experience of other countries. The article is divided into five parts. The introduction part mainly describes the research background, research ideas and methods of the dilemma of equity segmentation in divorce proceedings. Explain the significance of this study. The second part of the study of the main theme of the related concepts to explain the divisibility of equity the joint property of husband and wife as well as the relationship and differences between the joint ownership of husband and wife. At the same time, it is intended to provide the premise for the following to explore the plight of the way out. The third part of the essence of this paper, mainly through the relevant cases to explain the divorce proceedings to split the equity. Part 4th mainly combs the relevant legislation and regulations of our country. At the same time, combined with the relevant cases to summarize the practical experience of judicial adjudication in China. Part 5th from the theoretical introduction of divorce equity segmentation system, while learning from other countries relevant mature experience. In the research methods, this paper mainly adopts three research methods: first, the literature review method, this paper through the collection, read a large number of equity partition related books, periodicals, papers. Legal provisions and other documents, the existing research results are summarized, and combined with their knowledge background to find a breakthrough, strive to make innovations on the basis of previous studies. Second, empirical research method. In the case base of "China judgment documents Network", the author searches for the keywords "divorce" and "equity division", and selects 20 of the first 100 cases with the most relevant retrieval results to study them in depth. From the point of practice, guide practice. At the same time, through the understanding of China's current equity segmentation system, this paper analyzes and puts forward suggestions applicable to the situation of our country. Third, the comparative research method. This paper introduces the different marital property system in other countries under the treatment of equity division, absorption, reference to relevant mature legislative and judicial experience, hoping to build the most consistent with the reality of our country. The system of equity division that most matches the common property system of husband and wife.
