互聯(lián)網(wǎng)借貸平臺(tái)信息披露制度完善研究

【摘要】:《網(wǎng)絡(luò)借貸信息中介機(jī)構(gòu)業(yè)務(wù)活動(dòng)管理暫行辦法》對(duì)互聯(lián)網(wǎng)借貸平臺(tái)信息披露制度的規(guī)定較為籠統(tǒng),缺乏實(shí)際可操作性,而中國(guó)互聯(lián)網(wǎng)金融協(xié)會(huì)的自律規(guī)范雖有細(xì)化規(guī)定,卻又欠缺強(qiáng)制約束力。實(shí)踐中,各個(gè)平臺(tái)信息披露的自主性較大,呈現(xiàn)披露內(nèi)容自定、披露范圍不一的混亂狀態(tài),亦加劇了平臺(tái)風(fēng)險(xiǎn),加大了問(wèn)題平臺(tái)出現(xiàn)的可能性,導(dǎo)致投資者權(quán)益受損嚴(yán)重?梢(jiàn),現(xiàn)有互聯(lián)網(wǎng)借貸平臺(tái)信息披露制度亟待完善。在明確平臺(tái)法律定位、平衡投融資雙方與平臺(tái)三方利益的基礎(chǔ)上,批判性吸收美國(guó)先行經(jīng)驗(yàn),對(duì)我國(guó)互聯(lián)網(wǎng)借貸平臺(tái)信息披露制度提出完善構(gòu)想。建議監(jiān)管部門(mén)制定專(zhuān)門(mén)的、系統(tǒng)的、具有較強(qiáng)可操作性的信息披露規(guī)范指引,以平臺(tái)、從業(yè)機(jī)構(gòu)的發(fā)起人、控股股東及其董事、監(jiān)事、高級(jí)管理人員為義務(wù)主體,以全面、真實(shí)、準(zhǔn)確、及時(shí)、持續(xù)為原則導(dǎo)向,根據(jù)平臺(tái)業(yè)務(wù)規(guī)模、風(fēng)險(xiǎn)控制能力等,設(shè)置不同層級(jí)善良管理人標(biāo)準(zhǔn)。在借鑒自律規(guī)范披露內(nèi)容明細(xì)的基礎(chǔ)上,建議平臺(tái)做好貸后回款管理與披露工作,并可鼓勵(lì)平臺(tái)披露一定預(yù)測(cè)性信息以供投資者決策參考。同時(shí)引導(dǎo)平臺(tái)披露程序規(guī)范化,引入國(guó)際證監(jiān)會(huì)組織的信息記錄維護(hù)機(jī)制。就法律責(zé)任而言,建議確立不同情形下平臺(tái)與融資方的責(zé)任分擔(dān)制度,并落實(shí)"董監(jiān)高"的連帶賠償責(zé)任。關(guān)于監(jiān)管機(jī)制,則建議在現(xiàn)有監(jiān)管框架下,建立披露內(nèi)容事前備案制度、用戶(hù)評(píng)分制度與公民舉報(bào)制度,以應(yīng)對(duì)平臺(tái)信息的易篡改性,并進(jìn)一步明確政府與市場(chǎng)的關(guān)系,繼續(xù)發(fā)揮好行業(yè)自律協(xié)會(huì)的輔助作用。
[Abstract]:The interim measures on the Management of the Business activities of Internet Lending Information intermediary institutions the regulations on the information disclosure system of Internet lending platforms are relatively general and lack of practical operability. Although the self-regulation of China Internet Finance Association has detailed regulations, but it lacks of compulsory binding force. In practice, the autonomy of information disclosure of each platform is greater, and the content of disclosure is self-determined. The chaotic state of disclosing different scope also aggravated the risk of the platform, increased the possibility of the emergence of the problem platform, resulting in serious damage to the rights and interests of investors. The existing information disclosure system of Internet lending platform needs to be improved urgently. On the basis of defining the legal position of the platform and balancing the interests of both parties of investment and financing and the tripartite interests of the platform, this paper critically absorbs the prior experience of the United States. Put forward the perfect conception to the information disclosure system of our country's Internet loan platform, and suggest that the regulatory department should formulate the specialized, systematic, and more operable information disclosure standard guide to the platform, the initiator of the working institution. The controlling shareholders, their directors, supervisors and senior managers are the subject of obligations, which are oriented to the principles of comprehensiveness, truthfulness, accuracy, timeliness and continuity, according to the business scale of the platform and the ability of risk control. Set up different levels of kind-hearted administrator standards. On the basis of the detailed disclosure of self-regulatory standards, it is suggested that the platform do a good job in the management and disclosure of post-loan payback. It can also encourage the platform to disclose certain predictive information for investors' decision-making. Meanwhile, it can guide the standardization of the platform disclosure process and introduce the information record maintenance mechanism of the International Securities Regulatory Commission. As far as legal liability is concerned. It is suggested to establish the liability sharing system between the platform and the financier under different circumstances, and to implement the joint liability of Dong Jiangao. On the regulatory mechanism, it is suggested that it should be under the existing regulatory framework. In order to deal with the easiness of tampering with the information of the platform and further clarify the relationship between the government and the market, the system of pre-filing of disclosure content, the system of user rating and the system of citizen reporting should be established. We will continue to give full play to the auxiliary role of the industry self-discipline association.
