【摘要】：在收回利權(quán)運(yùn)動(dòng)中創(chuàng)辦的各省商辦鐵路公司,將限制或禁止外國(guó)資本的規(guī)定列入公司章程,并獲得國(guó)家行政的支持,但宏大的愛國(guó)敘事并不關(guān)注具體的制度構(gòu)建,從各類章程"不入洋股"、"不借洋債"等零散表述中透出的愛國(guó)情懷,卻不敵資金匱乏的現(xiàn)實(shí),這些限制性規(guī)定最終成為空文。某種程度上,政府通過國(guó)家立法限制商辦鐵路公司私入洋股、擅借外債,而商辦鐵路公司則利用公司章程抵制國(guó)家借用外債,國(guó)家法律和公司章程成為雙方相互抵制的工具。在具體操作中,政府和商辦鐵路公司都在抵制對(duì)方對(duì)外融資的同時(shí)又以外國(guó)資本作為解脫自身困境的出路。
[Abstract]:The provincial commercial railway companies, which were founded in the recovery movement, included in the articles of association the provisions restricting or prohibiting foreign capital and received the support of the state administration. But the grand patriotic narration does not pay attention to the concrete system construction, from the various kinds of articles of association "does not enter the foreign stock", "does not borrow the foreign debt" and so on the scattered expression to reveal the patriotic sentiment, but does not match the reality which the fund lacks. To some extent, the government adopted national legislation to restrict commercial railway companies from importing foreign shares and borrowing foreign debts, while commercial railway companies used their articles of association to resist the borrowing of foreign debts by the state. The national laws and articles of association have become the tools of mutual resistance. In the concrete operation, both the government and the commercial railway company are resisting the other party's external financing, while taking foreign capital as the way out of their own predicament at the same time.
