【摘要】：近年來,國有企業(yè)腐敗問題引起了黨和政府的高度重視,紀(jì)檢監(jiān)察機(jī)關(guān)已將國企內(nèi)部監(jiān)管作為重要工作內(nèi)容。政府部門、專家學(xué)者們對(duì)這一問題進(jìn)行探究后明確指出,近年來我國國有企業(yè)呈現(xiàn)出腐敗問題不斷涌現(xiàn),反腐壓力大、難度大等情況。我國國有企業(yè)面臨著如何改革如何提升市場(chǎng)競爭力的問題,在這個(gè)關(guān)鍵節(jié)點(diǎn),研究影響中國國有企業(yè)治理水平,禁錮快速改制的原因顯得尤為重要。本文就是從國有企業(yè)內(nèi)部腐敗問題入手,闡述腐敗問題與公司治理之間的關(guān)系,從提升公司治理效果的角度提出相關(guān)的意見建議。本文首先從公司治理相關(guān)理論知識(shí)入手,對(duì)多年來國內(nèi)外專家學(xué)者關(guān)于公司治理定義進(jìn)行了梳理,對(duì)現(xiàn)如今已被公眾熟知的兩種治理模式,即英美模式和德日模式進(jìn)行對(duì)比,并闡述兩者產(chǎn)生差異的原因;重點(diǎn)對(duì)近年來國內(nèi)的專家學(xué)者對(duì)公司治理模式的研究成果進(jìn)行分析闡述。接著對(duì)國外的相關(guān)問題進(jìn)行簡略研究,重點(diǎn)對(duì)近年來國內(nèi)國有企業(yè)腐敗問題的現(xiàn)狀、發(fā)生的原因進(jìn)行整理闡述;通過眾多資料比對(duì),整理出目前國內(nèi)外采用的主要防控措施;并結(jié)合本人實(shí)際工作,對(duì)Y市國有企業(yè)運(yùn)營狀況、存在的腐敗隱患進(jìn)行闡釋。緊接著從腐敗問題與國有企業(yè)公司治理效果的關(guān)系方面進(jìn)行分析,梳理出可能會(huì)產(chǎn)生的五種危害,一是導(dǎo)致企業(yè)經(jīng)營效果的降低;二是誘發(fā)政客商人腐敗的風(fēng)險(xiǎn);三是導(dǎo)致國有資產(chǎn)的流失;四是影響政府公信力;五是阻礙市場(chǎng)經(jīng)濟(jì)秩序的建立。最后,針對(duì)相關(guān)問題提出對(duì)策,提出了強(qiáng)化政府引導(dǎo)、建立科學(xué)合理的內(nèi)外治理機(jī)制、建立廉政防控治理機(jī)制以及強(qiáng)化問責(zé)追究等5個(gè)方面的意見建議。
[Abstract]:In recent years, the corruption of state-owned enterprises has attracted great attention of the Party and the government. Discipline inspection and supervision organs have taken the internal supervision of state-owned enterprises as an important part of their work. State-owned enterprises in China are facing the problem of how to reform and improve their market competitiveness. At this key node, it is particularly important to study the reasons that affect the governance level of state-owned enterprises and restrain the rapid restructuring. Firstly, this paper combs the definition of corporate governance by experts and scholars both at home and abroad for many years, compares the two well-known governance models, namely, the British-American model and the German-Japanese model, and expounds their production. Secondly, it makes a brief study of foreign related issues, focusing on the current situation of corruption in domestic state-owned enterprises in recent years, the reasons for the occurrence of this problem are collated and elaborated; through a lot of data comparison, sorting out the current abroad. The main prevention and control measures adopted at home and abroad, combined with my actual work, Y city state-owned enterprises operating conditions, the existence of corruption hidden dangers are explained. The risk of corruption of politicians and businessmen is induced; the loss of state-owned assets is caused; the loss of state-owned assets is caused; the credibility of the government is affected; and the establishment of market economic order is hindered. 5 opinions and suggestions.
